Effect of Violation. Any purported Transfer in violation of this Article 11 will be null and void and will not bind or be recognized by the Fund.
Effect of Violation. Executive and Employer acknowledge and agree that additional consideration has been given for Executive entering into this paragraph 8, such additional consideration, including, certain provisions for termination payments pursuant to paragraph 7 of this Agreement. Violation by Executive of this paragraph 8 shall relieve Employer of any obligation it may have to make such termination payments, but shall not relieve Executive of his obligations under this paragraph 8.
Effect of Violation. In the event that the Executive violates any of the provisions of this Section, all severance payable to Executive under this Agreement shall cease and any severance previously paid shall be reimbursed to the Company within thirty (30) days of the Company’s notification to Executive that this provision has been violated.
Effect of Violation. Any action or attempted action by the Company or the Holder in violation of this Warrant shall be null and void ab initio and of no force or effect whatsoever.
Effect of Violation. Any purported transfer of Notes, Common Stock or Common Stock Equivalents which is not permitted by this Agreement or which is in violation of this Agreement shall be void and of no force and effect whatsoever.
Effect of Violation. Employee and Employer acknowledge and agree that additional consideration has been given for Employee entering into this paragraph 8, such additional consideration including, without limitation, the termination payments pursuant to paragraph 7 hereof and a portion of the common stock issued pursuant to Section 4.3 hereof. Violation by Employee of this paragraph 8 shall relieve Employer of any obligation it may have to make such termination payments, but shall not relieve Employee of his obligations, as required hereunder, not to compete.
Effect of Violation. Failure to comply with any provision of this Addendum shall constitute a material breach of the Agreement. Institution, in its capacity as a Processor, will indemnify AbbVie against all fines, losses or damages incurred by AbbVie and AbbVie’s affiliates, as a result of Institution’s, or its subprocessors, breach of this Addendum.
Effect of Violation. Any purported Transfer in violation of this Article 9 will be null and void and will not bind or be recognized by the Partnership.
Effect of Violation. If Service Provider breaches the terms of this Addendum, including by engaging in unauthorized data processing, and such breach is capable of cure, Service Provider will have five (5) days to the cure the breach. If the breach is not cured within five (5) days or is incapable of cure, Company has the right to immediately terminate the Underlying Agreement, including any applicable Statements of Work hereunder, without penalty. Failure to comply with any provision of this Addendum shall constitute a material breach of the Underlying Agreement.
Effect of Violation. Any purported Transfer in violation of this Article 7 will be null and void and will not bind or be recognized by AVGF.
