Effect of Extension. Effective as of the Extension Date, the Termination Date of each of the Lenders that have agreed to extend their Termination Date (each, an “Extending Lender”) and of each Additional Commitment Lender shall be extended to the date falling one year after the Existing Termination Date (except that, if such date is not a Business Day, such Termination Date as so extended shall be the next preceding Business Day) and each Additional Commitment Lender shall thereupon become a “Lender” for all purposes of this Agreement; provided, however, that there shall be no change in the Termination Date of any Non-Extending Lender and on such Termination Date of any Non-Extending Lender, such Non-Extending Lender’s outstanding Revolving Loans shall be paid in full together with accrued and unpaid interest thereon and accrued and unpaid fees due it hereunder and such Non-Extending Lender’s obligations in respect of outstanding Letters of Credit and Swingline Loans shall terminate.
Effect of Extension. If a member ex- tends an assignment or performance of duty specified in an agreement with the Secretary concerned under subsection (c), assignment or special duty pay for the period of the exten- sion may be paid on a monthly basis, in a lump sum, or in installments, consistent with this subsection.
Effect of Extension. If the Closing Date is extended pursuant to a fully executed Amendment to this Agreement or mutual escrow instructions executed by both Xxxxxx and Xxxxx, then Closing Agent shall conduct the Closing as so extended. However, if the transaction contemplated by this Agreement has been cancelled or terminated as permitted elsewhere in this Agreement, then Closing Agent will not conduct the Closing.
Effect of Extension. Effective as of the Extension Effective Date, the Commitment Termination Date of each Extending Lender and of each Additional Extension Lender shall be (or shall be extended to, as applicable) the date falling 364 days after the Commitment Termination Date then in effect and each Additional Extension Lender shall thereupon become a “Lender” for all purposes of this Agreement. Subject to the terms and conditions set forth in this Section 2.13, the Administrative Agent shall promptly notify the Borrowers and the Lenders of the Extension Effective Date and record the relevant information for such extension in the Register.
Effect of Extension. The terms, covenants and conditions of this Agreement shall continue in force throughout any extension of the Term.
Effect of Extension. The Purchase Agreement as amended and modified by this Extension remains in full force and effect.
Effect of Extension. All provisions of the Agreement, as extended by this Extension, remain in full force and effect. After this Extension becomes effective, all references in the Agreement to "this Agreement" "hereof" "herein" or words of similar effect referring to the Agreement in the Agreement or in any other document relating to the Seller's securitization program shall be deemed to be references to the Agreement as extended by this Extension. This Extension shall not be deemed to expressly or impliedly waive, amend or supplement any provision of the Agreement other than as set forth herein.
Effect of Extension. Except as expressly set forth herein, this Second Extension of Term Agreement shall not by implication alter, modify, amend or in any way affect any of the other terms, conditions, obligations, covenants or agreements contained in the Management Agreement, all of which shall continue in full force and effect.
Effect of Extension. If the term of the Loan is extended pursuant ------------------- to the provisions of this Section 2.8, then all the other terms and conditions ----------- of this Agreement and the other Security Documents shall remain in full force and effect and unmodified.
Effect of Extension. This Amendment modifies the Agreement only as expressly set forth herein. All terms, conditions and provisions of the Agreement shall remain in full force and effect, modified only to the extent necessary to accomplish the purpose of the Amendment.
