Effect of Draw Request. That each Draw Request shall constitute an affirmation that the representations and warranties of this Article 3 remain true and correct as of the date hereof, and, unless Lender is notified to the contrary prior to the disbursement of the requested advance or any portion thereof, shall constitute an affirmation that the same remain true and correct on the date of such disbursement.
Effect of Draw Request. Each Draw Request submitted to the Lender as provided in ss.3.1 hereof shall constitute an affirmation that the representations and warranties contained in this Agreement and in the other Loan Documents remain true and correct as of the date thereof; and unless the Lender is notified to the contrary, in writing, prior to the Drawdown Date of the requested Advance or any portion thereof, shall constitute an affirmation that the same remain true and correct on the Drawdown Date.
Effect of Draw Request. Each Draw Request submitted to the Agent as provided in Section 3.1 hereof shall constitute an affirmation that, except to the extent of changes disclosed in writing to Agent resulting from transactions contemplated or permitted by the Loan Documents and any changes occurring in the ordinary course of business that singly or in the aggregate are not materially adverse, the representations and warranties contained in Section 8 of this Agreement and in the other Loan Documents remain true and correct as of the date thereof; and, except to the extent of changes disclosed in writing to Agent prior to the Drawdown Date of the requested Advance or any portion thereof, resulting from transactions contemplated or permitted by the Loan Documents and any changes occurring in the ordinary course of business that singly or in the aggregate are not materially adverse, shall constitute an affirmation that the same remain true and correct on the Drawdown Date.
Effect of Draw Request. Each Draw Request submitted to the Agent shall constitute an affirmation that the representations and warranties contained in this Agreement and in the other Loan Documents to which the Borrower is a party remain true and correct in all material respects as of the date thereof or, if not, with such modifications as are duly noted in a certificate delivered with such Draw Request (it being acknowledged and agreed that, pursuant to Article III hereof, the Lenders are not obligated to make any Advance if any representation or warranty contained herein is untrue in any material respect); and unless the Agent is notified to the contrary, in writing, prior to the disbursement of the requested Advance or any portion thereof, shall constitute an affirmation that the same remain true and correct in all material respects on the date of such disbursement or, if not, with such modifications as are duly noted in a certificate delivered with such Draw Request (it being acknowledged and agreed that, pursuant to Article III hereof, the Lenders are not obligated to make any Advance if any representation or warranty contained herein is untrue in any material respect at the time of any Advance or cannot be made without material modification at the time of any Advance).
Effect of Draw Request. That each Draw Request submitted to Lender as provided in Article 6 hereof shall constitute an affirmation that the representations and warranties contained in Article 3 of this Agreement (other than the representations made in the last clause of Section 3.11 as it relates to the indebtedness of any guarantor) and in the other Loan Documents remain true and correct as of the date thereof, and unless Lender is notified to the contrary, in writing, prior to the disbursement of the requested Advance or any portion thereof, shall constitute an affirmation that the same remain true and correct on the date of such disbursement.
Effect of Draw Request. Each Draw Request submitted to Agent as provided in Section 3.1 hereof shall constitute an affirmation that the representations and warranties contained in this Agreement and in the other Loan Documents remain true and correct as of the date thereof (unless such representation and/or warranty expressly references a different date with respect thereto); and unless Agent is notified to the contrary, in writing, prior to the Drawdown Date of the requested Advance or any portion thereof, shall constitute an affirmation that the same remain true and correct on the Drawdown Date (unless such representation and/or warranty expressly references a different date with respect thereto).
Effect of Draw Request. That each Draw Request submitted to Bank as provided in Article 6 hereof shall constitute an affirmation that the representations and warranties contained in Article 3 of this Agreement and in the other Credit Documents remain true and correct as of the date thereof; and unless Bank is notified to the contrary, in writing, prior to the disbursement of the requested Advance or any portion thereof, shall constitute an affirmation that the same remain true and correct on the date of such disbursement.
Effect of Draw Request. Each Draw Request submitted to the Lender ---------------------- as provided in Section 32 hereof shall constitute an affirmation that the representations and warranties contained in Section 7 of this Agreement and in the other Loan Documents remain true and correct as of the date thereof (except to the extent of changes resulting from transactions contemplated or permitted by the Loan Documents and changes occurring in the ordinary course of business that singly or in the aggregate are not adverse); and, unless the Lender is notified to the contrary, in writing, prior to the date of the requested Advance or any portion thereof, shall constitute an affirmation that the same remain true and correct on the date of such Advance.
Effect of Draw Request. Each Draw Request submitted to the Lender as provided in §3.1 hereof shall constitute an affirmation that the representations and warranties contained in this Agreement, other than as set forth in §7.2 hereof, and in the other Loan Documents, remain true and correct to Borrower’s Knowledge as of the date thereof; and unless the Lender is notified to the contrary, in writing, prior to the Drawdown Date of the requested Advance or any portion thereof, shall constitute an affirmation that the same, other than as set forth in §7.2 hereof, remain true and correct to Borrower’s Knowledge on the Drawdown Date.
Effect of Draw Request. Each Request for Advance hereunder ---------------------- shall constitute an affirmation that Borrower's representations and warranties set forth in this Article 5 and elsewhere in this Agreement remain true and --------- correct as of the date thereof, and, unless Lender is notified to the contrary prior to the disbursement of the requested advance or any portion thereof, shall constitute an affirmation that the same remain true and correct on the date of such disbursement.
