Economic and Social Benefits. The Parties agree that, alongside the provision of the Services, the Parties will seek to achieve economic and social benefits for Staffordshire and Staffordshire residents (the “Economic and Social Objectives”). The JVCo may also choose to seek to achieve the same or similar objectives in any other area in which it chooses to operate, based on the needs of that area. As at the Commencement Date, the Economic and Social Objectives include: the creation of job opportunities, particularly focussed on those that can be made available to people disadvantaged in the labour market; ensuring equality of opportunity for all jobs opportunities that arise; the creation of training and development opportunities, including apprenticeships and unpaid work experience, particularly focusing on opportunities that could be taken up by people disadvantaged in the labour market, and ensuring equality of opportunity for those groups; the creation of a thriving SME sector, in particular by ensuring equality of opportunity for SMEs for opportunities that arise to form part of the supply chain; the creation of a thriving Civil Society, in particular by engaging with CSOs, encouraging CSOs to participate in the supply chain, and ensuring equality of opportunity for CSOs for opportunities that arise to form part of the supply chain; the effective consultation of customers, stakeholders and the wider community on Service delivery, and opportunities to change, improve or expand upon the Services; and the critical success factors set out within the Business Plan as defined in the Shareholders’ Agreement. Notwithstanding the desire of both Parties to achieve economic and social benefit for the Staffordshire area through their activities, the achievement of the Economic and Social Objectives shall not override the requirement for the JVCo to successfully provide the Services to the Customer and its other customers. The Parties shall agree: any changes or additions to the Economic and Social Objectives; and a method for the achievement of the Economic and Social Objectives annually as part of the Annual Review.

  • General Benefits During the Term of Employment, the Executive shall be entitled to participate in such employee pension and welfare benefit plans and programs of the Company as are made available to the Company's senior-level executives or to its employees generally, as such plans or programs may be in effect from time to time, including, without limitation, health, medical, dental, long-term disability, travel accident and life insurance plans.

  • Workplace Safety Insurance Benefits (WSIB) Top Up Benefits If the employee is in a class of employees that, on August 31, 2012, was entitled to use unused sick leave credits for the purpose of topping up benefits received under the Workplace Safety and Insurance Act, 1997;

  • Health Insurance Benefits To the extent provided by the federal COBRA law or, if applicable, state insurance laws, and by the Company’s current group health insurance policies, Executive will be eligible to continue Executive’s group health insurance benefits at Executive’s own expense. If Executive timely elects continued coverage under COBRA, the Company shall pay Executive’s COBRA premiums, and any applicable Company COBRA premiums, necessary to continue Executive’s then-current coverage for a period of 12 months after the date of Executive’s termination of employment; provided, however, that any such payments will cease if Executive voluntarily enrolls in a health insurance plan offered by another employer or entity during the period in which the Company is paying such premiums. Executive agrees to immediately notify the Company in writing of any such enrollment. Notwithstanding the foregoing, if the Company determines, in its sole discretion, that it cannot provide the foregoing benefit without potentially incurring financial costs or penalties under applicable law (including, without limitation, Section 2716 of the Public Health Service Act), the Company shall in lieu thereof provide to Executive a taxable monthly amount to continue his group health insurance coverage in effect on the date of separation from service (which amount shall be based on the premium for the first month of COBRA coverage), which payments shall be made regardless of whether Executive elects COBRA continuation coverage and shall commence in the month following the month in which Executive incurs a separation from service and shall end on the earlier of (x) the date on which Executive voluntarily enrolls in a health insurance plan offered by another employer or entity during the period in which the Company is paying such amounts and (y) 12 months after the date of Executive’s separation from service.

  • Medical Benefits The Company shall reimburse the Employee for the cost of the Employee's group health, vision and dental plan coverage in effect until the end of the Termination Period. The Employee may use this payment, as well as any other payment made under this Section 6, for such continuation coverage or for any other purpose. To the extent the Employee pays the cost of such coverage, and the cost of such coverage is not deductible as a medical expense by the Employee, the Company shall "gross-up" the amount of such reimbursement for all taxes payable by the Employee on the amount of such reimbursement and the amount of such gross-up.

  • Membership Benefits The benefits of CamCare programs are available only while your membership is current and active. Benefits are term year specific so they can only be used during the current active plan agreement period. Members have the ability to change their plan from one plan to another but the plans cannot be unbundled. Each plan has been designed carefully to include those elements associated with the main intent of a particular plan.

  • Standard Company Benefits Executive shall be entitled to participate in all employee benefit programs for which Executive is eligible under the terms and conditions of the benefit plans that may be in effect from time to time and provided by the Company to its employees. Such benefits, plans and programs shall include, without limitation, any profit sharing plan, thrift plan, health insurance or health care plan, life insurance, disability insurance, pension plan, supplemental retirement plan, vacation and sick leave plan, and the like which may be maintained by Company. Company shall not, however, by reason of this paragraph be obligated to institute, maintain, or refrain from changing, amending, or discontinuing, any such benefit plan or program, so long as such changes are similarly applicable to executive employees generally.
