Early Occupancy Period. In the event a portion of the Premises are available for Tenant's occupancy prior to the Rent Commencement Date, Tenant may occupy such portion of the Premises and in such event, (i) subject to the terms of this Paragraph, the Premises shall instead be deemed tendered and the term of the Lease shall instead begin on such early occupancy date (with such early occupancy date thereupon becoming the Lease Commencement Date and the period between such early occupancy date and the Rent Commencement Date being referred to as the "Early Occupancy Period"), (ii) Tenant shall be responsible for paying all Additional Rent expenses for the entire Premises and otherwise complying with the terms of this Lease during the Early Occupancy Period, (iii) Tenant shall be responsible for the prorata share of Basic Rent reasonably allocable on a useable square footage basis to such portion of the Premises during the Early Occupancy Period, but the Rent Commencement Date as to the entire Premises shall remain unchanged, and (iv) the maximum term of the Second Option to Extend shall be reduced by the number of days of such Early Occupancy Period. Notwithstanding clause (iii) above, if Tenant so occupies more than fifty percent of the useable square footage area of the Building prior to what would otherwise be the Rent Commencement Date hereunder, then the Rent Commencement Date shall be deemed to have occurred as to the entire Premises on the date that Tenant so occupies more than fifty percent of the useable square footage area of the Building.
Early Occupancy Period. Prior to the Lease Commencement Date (the “Early Access Period”), Tenant shall be permitted to enter the Premises for the sole purpose of planning for and constructing the Tenant Improvements, provided that (a) prior to Tenant’s entry in the Premises, Tenant shall furnish to Landlord certificates of insurance satisfactory to Landlord evidencing Tenant’s compliance with the requirements of Section 10.3 below; and (b) Tenant’s work during the Early Access Period shall comply with the requirements of the Tenant Work Letter. Tenant’s occupancy of the Premises during the Early Access Period shall be subject to all of the terms, covenants and conditions of this Lease, including Tenant’s indemnity obligations set forth in Section 10.1 below, except that Landlord agrees that Tenant’s obligation to pay Base Rent and “Tenant’s Share” of the annual “Direct Expenses”, as those terms are defined in Section 4.2.5 and Section 4.2.1, below, respectively, shall be waived. Tenant shall, however, pay the cost of all utilities and other services provided to the Premises prior to the Lease Commencement Date that are required by reason of Tenant’s early occupancy. Landlord shall use commercially reasonable efforts to cause the Base Building Work to be completed no later than the Lease Commencement Date set forth in Section 3.2 of the Summary.
Early Occupancy Period. The Tenant shall be permitted occupancy of the Premises free from basic rent and Additional Rent (5) days prior to the Commencement Date (the "Early Occupancy Period") contemporaneously with the Landlord in order to set up some of its equipment in the open east area of the Premises. During the Early Occupancy Period the Tenant shall abide by and adhere to all other terms and conditions of this Lease.
Early Occupancy Period. Landlord shall deliver possession of the Premises to Landlord within five (5) business days after the date this Lease has been fully executed by Tenant and Landlord, provided Tenant has paid to Landlord the prepaid Rent and delivered to Landlord the Letter of Credit and insurance certificates required under this Lease. The date Landlord delivers possession shall be referred to as the “Delivery Date.” The period of time from and including the Delivery Date to immediately prior to the Commencement Date shall be referred to as the “Early Occupancy Period.” During the Early Occupancy Period, Tenant shall comply with all of the terms and provisions of this Lease that would otherwise apply during the Lease Term, except that Tenant shall not have to pay Base Monthly Rent or Tenant’s Share of Operating Expenses during the Early Occupancy Period. Said early occupancy shall not advance the Commencement Date of this Lease.
Early Occupancy Period. Provided this Lease has been executed by the Tenant in a form acceptable to the Landlord and the Landlord’s Work and the Turnkey are complete on or before December 31, 2009, the Tenant will be given access to the Premises for the purpose of conducting the Tenant’s business operation in the Premises from the date on which the Landlord’s Work and the Turnkey are complete to and including December 31, 2009. During the Early Occupancy Period, the Tenant shall not be responsible for the payment of Basic Rent, its Proportionate Share of Operating Costs, or Realty Taxes but shall be bound by all other terms of this Lease including the requirement to pay for any utilities consumed in the Premises.
Early Occupancy Period. Notwithstanding any provision of this Lease to the contrary, Tenant shall have no obligation to pay Base Rent for the period consisting of Lease Months one (1) two (2) and three (3) of the Original Term ("Early Occupancy Period").
Early Occupancy Period. Subject to all of the terms and conditions of Section 3.1.2 of the Standard Lease Provisions, Tenant shall have the right to enter the Datacenter Space for the purpose of installing and testing its Equipment and other Tenant’s Personal Property therein during the period commencing on the Early Occupancy Date and ending on the day before the Commencement Date. The “Early Occupancy Date” means (and shall occur on) the date Landlord notifies Tenant in writing that Landlord has advanced the Commencement Date Conditions sufficiently to allow Tenant to engage in the installation and testing of Equipment and other Tenant’s Personal Property in the Datacenter Space and makes the Datacenter Space available to Tenant for such purposes.
Early Occupancy Period. The terms and provisions of Section 8.d of the Master Lease, relating to Hazardous Materials, as incorporated herein by reference, shall apply during any Early Occupancy Period. Accordingly, notwithstanding anything to the contrary in this Section 18, if Subtenant causes the presence or release of any Hazardous Materials, including radiation or radioactive materials, during any Early Occupancy Period, then Sublandlord shall have no responsibility or indemnity obligations for such matters.
Early Occupancy Period. From the date of the execution of the Lease by both parties until the Lease Commencement Date (the "Early Occupancy Period"), Tenant shall be entitled to take possession of the Premises solely in order to construct the Tenant Improvements and install Tenant's furniture, fixtures and equipment. During the Early Occupancy Period, all of the provisions of the Lease shall apply, except that Tenant shall have no obligation to pay Base Rent or Additional Rent. During the Early Occupancy Period, Landlord shall not charge Tenant for freight elevators, security, access to loading docks, temporary HVAC or utilities.
Early Occupancy Period. Subject always to Section 6 of this Agreement, from April 1, 2023 until the Delivery Date, Landlord shall permit access to and give non-exclusive possession of the warehouse portion of the Additional Premises to Tenant (the “Early Occupancy Period”) for the purpose of allowing Tenant to store materials provided this Agreement has been fully executed and Tenant has delivered to Landlord a certificate of insurance indicating that a policy of Tenant’s insurance for the Additional Premises is in full force and effect. In consideration of having access to the Additional Premises during this Early Occupancy Period, Tenant shall pay Landlord a one-time gross rent of $2,500.00 and all other terms of the Lease shall apply during the Early Occupancy Period. For greater certainty, in the event that Landlord does not obtain vacant possession as described in Section 6 of this Agreement, Landlord shall not be liable for being unable to provide the Early Occupancy Period to the Tenant and there shall be no recourse other than Landlord continuing to use commercially reasonable efforts to obtain such vacant possession.
