Early Cancellation Fee Sample Clauses

Early Cancellation Fee. Should you decide to cancel your Service before the end of the Minimum Period, you will have to pay for all of the remaining Charges until the end of the current Minimum Period, or the new annual period if the Agreement has rolled over. For the avoidance of doubt, if you cancel your Service after signature of our Agreement for any reason you will be liable in full for all the Service Charges as if the Service was installed and provisioned. We may offer a goodwill discount for early settlement of our subsequent invoice where settlement of such sums is received within thirty (30) days of the applicable cancellation. The only exception is associated to ECC’s referenced in 3.8.

Early Cancellation Fee. 12.1 The Early Cancellation Fee (ECF) is not a penalty, but rather a charge to compensate us for your failure to satisfy the contract term on which your service fees are based. Upon execution of this agreement, Marketing 360® will be investing considerable work into Client’s business and online marketing activities. This investment is being made with the understanding that you are committing to pay for the Services through the Initial Term. Client recognizes the aforementioned investment, up-front sales, setup and opportunity costs that Marketing 360® bears in connection with this marketing commitment, and acknowledges that this fee is not a penalty, but rather a reasonable amount of liquidated damages to compensate Marketing 360® for early cancellation of the Services.
