Duties of Director. During his employment hereunder the Director will:- - carry out all such duties as may be assigned to him honestly, faithfully and to the best of his ability; - devote the whole of his time and attention to the business of the Unilever Organisation; - not without the prior written consent given to him by or on behalf of the Board, and subject to such conditions as it may lay down from time to time, be concerned or interested in, or directly or indirectly responsible for the management of, any other business: provided that nothing in this sub-clause shall prevent the Director from holding or being otherwise interested in any shares or other securities of any company for investment purposes only.

Duties of Director. Director during the term hereof shall serve as a director of Prime and shall fulfill in good faith the duties required of such position. Director shall use Director's good faith efforts to promote the interests of Prime and Prime's Affiliates, and to preserve their goodwill with respect to their employees, customers, suppliers and other persons having business relations with Prime. Duties of Director. The Director of Central Intelligence shall, to the maximum extent practicable in ac- cordance with subparagraph (A), render full assistance and support to the Office and the Director.
Duties of Director. During the Term of Employment, the Director shall be employed to advise as to Commercial and Business Development, Project Management, Market Development, Customer Relationship, and External Capability Acquisition. The Director shall faithfully and diligently perform all services as may be assigned to him by the Board of the Company, and shall exercise such power and authority as may from time to time be delegated to him by the Board. Notwithstanding the foregoing or any other provision of this Agreement, it shall not be a breach or violation of this Agreement for the Director to (x) serve on civic or charitable boards or committees, (y) deliver lectures, or fulfill speaking engagements, so long as such activities do not significantly interfere with or significantly detract from the performance of the Director’s responsibilities to the Company in accordance with this Agreement.
Duties of Director. Director shall fulfill the necessary duties as the Chairman of the Board. The Board shall determine the Board committee appointments, if any, that are appropriate for Director. Director is expected to attend at least four (4) Board meetings and, if applicable, four (4) committee meetings per year in Los Angeles.
