Duties as Chief Operating Officer. Except as otherwise determined from time to time by the Board of Directors, Executive shall be involved in all aspects of the day to day business operations of the Company. Executive shall also be responsible for determining necessary strategic partnerships and investment opportunities relating to the Company, both nationally and internationally, and shall have wide discretion in implementing the vision, strategic goals and operational mission of the Company. Executive shall, on a full time and exclusive basis, devote all of his business time, attention and energies to the operations of the Company and other duties as required by this Agreement, and shall use his best efforts to advance the best interests of the Company..

Duties as Chief Operating Officer. The services of Executive are exclusive to the Company. Executive will devote substantially all of his business hours to, and make the best use of his energy, knowledge and training in, performing his duties as Chief Operating Officer of the Company within the general guidelines established by the Chief Executive Officer of the Company as the same may, from time to time, be modified by the Company's Board of Directors. Executive will always report to the Chief Executive Officer of the Company and have all the duties normally subscribed to the Chief Operating Officer. Notwithstanding anything in this Agreement to the contrary, the duties of Executive under this Agreement do not (i) require Executive to relocate his principal office or residence from the Minneapolis/St. Xxxx, Minnesota metropolitan area without the prior written consent of Executive, or (ii) prevent Executive from owning, directly or indirectly, securities of, or otherwise participating in the ownership of, any publicly-owned business, trade, industry or venture. Executive will perform his duties in a competent and professional manner, consistent with that expected of a chief operations officer of the Company.
Duties as Chief Operating Officer. Except as otherwise determined from time to time by the Board of Directors, Executive shall administer, supervise and manage all operational systems of the Company, including, without limitation, shipping, logistics, regulatory compliance, and internal controls relating to the Company’s syringe and other vacuum safety products. Executive shall also be responsible for the overall implementation of all systems related to the Company’s software as a service business for its MRI software applications.

  • Chief Operating Officer Subject to the powers of the Company Board, the chief executive officer and the president, the chief operating officer of the Company shall have general and active management of the business of the Company. The chief operating officer shall see that all orders and resolutions of the president are carried into effect. The chief operating officer shall have such other powers and perform such other duties as may from time to time be prescribed by the chief executive officer, the president or the Company Board.

  • Vice President In the absence of the President or in the event of the President’s inability to act, the Vice President, if any (or in the event there be more than one Vice President, the Vice Presidents in the order designated by the Directors, or in the absence of any designation, then in the order of their election), shall perform the duties of the President, and when so acting, shall have all the powers of and be subject to all the restrictions upon the President. The Vice Presidents, if any, shall perform such other duties and have such other powers as the Board may from time to time prescribe.

  • President and Chief Executive Officer The president shall be the chief executive officer of the Trust, unless the Board of Trustees designates the chairman as chief executive officer.   • Duties and Responsibilities of Executive During the Employment Period, Executive shall devote his full working time to (a) the business of the Company and its Affiliates and (b) performance of the duties and responsibilities assigned to Executive to the best of Executive’s ability and with reasonable diligence. Executive’s Employment shall also be subject to the policies maintained and established by the Company, as such policies may be amended from time to time. Executive shall at all times use his best efforts to comply in good faith with laws applicable to Executive’s actions on behalf of the Company and its Affiliates.
