Common use of Duly Authorized Clause in Contracts

Duly Authorized. The issuance of the Acquiror Company Shares has been duly authorized and, upon delivery to the Shareholders of certificates therefor in accordance with the terms of this Agreement, the Acquiror Company Shares will have been validly issued and fully paid, and will be nonassessable, have the rights, preferences and privileges specified, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Shareholders and restrictions on transfer imposed by this Agreement and the Securities Act.

Duly Authorized. The issuance of the Acquiror Company Shares has been duly authorized and, upon delivery to the Shareholders of certificates therefor in accordance with the terms of this Agreement, the Acquiror Company Shares will have been validly issued and fully paid, and will be nonassessable, have the rights, preferences and privileges specified, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Shareholders and restrictions on transfer imposed by this Agreement and the Securities Act.

The issuance of the Acquiror Company Shares has been duly authorized and, upon delivery to the Shareholders Acquiree Shareholder of certificates therefor in accordance with the terms of this Agreement, the Acquiror Company Shares will have been validly issued and fully paid, and will be nonassessable, have the rights, preferences and privileges specified, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Shareholders Acquiree Shareholder and restrictions on transfer imposed by this Agreement and the Securities Act.

The issuance of the Acquiror Company Preferred Shares has been duly authorized and, upon delivery to the Shareholders of certificates therefor in accordance with the terms of this Agreement, the Acquiror Company Preferred Shares will have been validly issued and fully paid, and will be nonassessable, have the rights, preferences and privileges specified, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Shareholders and restrictions on transfer imposed by this Agreement and the Securities Act.

The issuance of the Acquiror Company Shares has been duly authorized and, upon delivery to the Shareholders of certificates therefor therefore in accordance with the terms of this Agreement, the Acquiror Company Shares will have been validly issued and fully paid, and will be nonassessable, have the rights, preferences and privileges specified, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Shareholders and restrictions on transfer imposed by this Agreement and the Securities ActAct or any lock-up agreements.

The issuance of the Acquiror Company Shares has been duly authorized and, upon delivery to the Shareholders Purchaser of a certificate or certificates therefor in accordance with the terms of this Agreement, the Acquiror Company Shares will have been validly issued and fully paid, and will be nonassessable, have the rights, preferences and privileges specified, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Shareholders Purchaser and restrictions on transfer imposed by this Agreement and the Securities Act.

The issuance of the Acquiror Company Shares has been duly authorized and, upon delivery to the Shareholders Trustee of certificates therefor in accordance with the terms of this Agreement, the Acquiror Company Shares will have been validly issued and fully paid, and will be nonassessablenon-assessable, have the rights, preferences and privileges specified, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Shareholders Trustee and restrictions on transfer imposed by this Agreement and the Securities Act.

Duly Authorized. The issuance of the Acquiror Company Common Shares has been duly authorized and, upon delivery to the Shareholders of certificates therefor in accordance with the terms of this Agreement, the Acquiror Company Common Shares will have been validly issued and fully paid, and will be nonassessable, have the rights, preferences and privileges specified, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Shareholders and restrictions on transfer imposed by this Agreement and the Securities Act.

Duly Authorized. The issuance of the Acquiror Company Shares has been duly authorized and, upon delivery to the Shareholders Exchanging Stockholders, of certificates therefor in accordance with the terms of this Agreement, the Acquiror Company Shares will have been be validly issued and issued, fully paid, and will be nonassessable, will have the rights, preferences and privileges specified, will be free of preemptive rights rights, and will be free and clear of all Liens liens and restrictions, other than Liens created by the Shareholders and restrictions on transfer imposed by this Agreement and any applicable securities laws and the Securities Actregulations and rules promulgated thereunder.

Duly Authorized. The issuance of the Acquiror Company Shares has been duly authorized and, upon delivery to the Shareholders of certificates therefor in accordance with the terms of this Agreement, the Acquiror Company Shares will have been validly issued and fully paid, and will be nonassessablenon-assessable, have the rights, preferences and privileges specified, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Shareholders and restrictions on transfer imposed by this Agreement and the Securities Act.

The issuance of the Acquiror Company Shares pursuant to this Agreement has been duly authorized and, upon delivery to the Company Shareholders of certificates therefor in accordance with the terms of this Agreement, the such Acquiror Company Shares will have been validly issued and fully paid, and will be nonassessablenon-assessable, have the rights, preferences and privileges specifiedspecified in the Acquiror Company’s Organizational Documents, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Company Shareholders and restrictions on transfer imposed by this Agreement and the Securities Act.

The issuance of the Acquiror Company Shares has been duly authorized and, upon delivery to the Shareholders of certificates therefor or agreements with respect thereto, as the case may be, in accordance with the terms of this Agreement, the Acquiror Company Shares will have been validly issued and fully paid, and will be nonassessable, non-assessable and will have the rights, preferences and privileges specified, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Shareholders and restrictions on transfer imposed by this Agreement and the Securities Act.

Duly Authorized. The issuance of the Acquiror Company Shares has been duly authorized and, upon delivery to the Shareholders of certificates therefor issuance in accordance with the terms of this Agreement, the Acquiror Company Shares will have been validly issued and fully paid, and will be nonassessable, have the rights, preferences and privileges specified, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Shareholders and restrictions on transfer imposed by this Agreement and the Securities Act.

Duly Authorized. The issuance of the Acquiror Company Shares has been duly authorized and, upon delivery to issuance of the Shareholders of certificates therefor Acquiror Company Shares in accordance with the terms of this Agreement, the Acquiror Company Shares will have been validly issued and fully paid, and will be nonassessable, have the rights, preferences and privileges specifiedspecified in the Acquiror Company’s Organizational Documents, will be issued free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Shareholders and restrictions on transfer imposed by a Shareholder, this Agreement and the Securities Act.

Duly Authorized. The issuance of the Acquiror Company Shares has been duly authorized and, upon delivery to the Shareholders of certificates therefor issuance in accordance with the terms of this Agreement, the Acquiror Company Shares will have been validly issued and fully paid, and will be nonassessable, have the rights, preferences and privileges specified, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Shareholders Members and restrictions on transfer imposed by this Agreement and the Securities Act.

Duly Authorized. The issuance of the Acquiror Company Shares has been duly authorized and, upon delivery to the Shareholders Purchasers of certificates therefor in accordance with the terms of this Subscription Agreement, the Acquiror Company such Shares will have been validly issued and fully paid, and will be nonassessable, have the rights, preferences and privileges specified, will be free of preemptive rights and will be free and clear of all Liens liens and restrictions, other than Liens liens created by the Shareholders Purchasers and restrictions on transfer imposed by this Subscription Agreement and the Securities Act, and will have been validly issued and be will be fully paid and nonassessable.

Duly Authorized. The issuance of the Acquiror Company Shares has been duly authorized and, upon delivery to consummation of the Shareholders of certificates therefor in accordance with the terms of this AgreementClosing, the Acquiror Company Shares will have been validly issued and fully paid, and will be nonassessable, have the rights, preferences and privileges specified, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Shareholders and restrictions on transfer imposed by this Agreement and the Securities Act.

Duly Authorized. The issuance of the Acquiror Company Shares pursuant to this Agreement has been duly authorized and, upon delivery to the Company Shareholders of certificates therefor in accordance with the terms of this Agreement, the such Acquiror Company Shares will have been validly issued and fully paid, and will be nonassessablenon-assessable, have the rights, preferences and privileges specifiedspecified in the Acquiror Company’s Organization Documents, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Company Shareholders and restrictions on transfer imposed by this Agreement and the Securities Act.

The issuance delivery of the Acquiror Company Shares pursuant to this Agreement has been duly authorized and, upon delivery to the Shareholders Acquiror Company of certificates therefor in accordance with the terms of this Agreement, the Acquiror such Company Shares will have been validly issued and fully paid, and will be nonassessablenon-assessable, have the rights, preferences and privileges specifiedspecified in the Company’s Organizational Documents, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Shareholders and restrictions on transfer imposed by this Agreement and the Securities Act.

The issuance of the Acquiror Company Preferred Shares has been duly authorized and, upon delivery to the Shareholders Shareholder of certificates therefor in accordance with the terms of this Agreement, the Acquiror Company Preferred Shares will have been validly issued and fully paid, and will be nonassessable, have the rights, preferences and privileges specified, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Shareholders Shareholder and restrictions on transfer imposed by this Agreement and the Securities Act.

The issuance of the Acquiror Company Shares has been duly authorized and, upon delivery to the Shareholders Newry of certificates therefor in accordance with the terms of this Agreement, the Acquiror Company Shares will have been validly issued and fully paid, and will be nonassessablenon-assessable, have the rights, preferences and privileges specified, will be free of preemptive rights and will be free and clear of all Liens and restrictions, other than Liens created by the Shareholders Newry and restrictions on transfer imposed by this Agreement and the Securities Act.
