DUKE AGREEMENT. OREXIGEN agrees that it will not enter into any amendment of the DUKE AGREEMENT which diminishes the rights and/or interests of CYPRESS under this AGREEMENT, without the prior written consent of CYPRESS, which shall not be unreasonably withheld.
DUKE AGREEMENT. In the event the Company intends to enter into negotiations with Duke University regarding any amendment of the terms of the Clinical Study and Research Agreement dated September 1, 1998, as amended, between Duke University and the Company, the Company will consult with Parent in advance of any such negotiations. Any amendment of the material commercial terms of such agreement shall require the prior express written consent of Parent, which consent shall not be unreasonably withheld or delayed.
