Price : Four Xxxxx (Prl. 450) ■ ' No. 1 From the British Ambassador at Dublin to the Minister for External Affairs of Ireland. 15th October, 1968 Your Excellency, I have the honour to inform you that the Government of the United Kingdom, as preparation for implementation of the pro- visions of Article IV (3) (a) (i) of the Agreement, -signed on 14 December, 1965 between the Government of the United Kingdom and the Government of Ireland establishing a Free Trade Area between the two countries, suggest that Annex C to that Agreement should be amended so as to enable certain wines originating in Ireland to be distinguished from such wines originating elsewhere. Accordingly, it is proposed that Part III of Annex C to the Agreement should be amended as follows :—

  • Ireland In a case where the Company or an Affiliate or any other person (the “Relevant Person”) is obliged to (or would suffer a disadvantage if they were not to) account for any tax (in any jurisdiction) by virtue of the receipt of any benefit under this Award Agreement or the Plan (whether in cash or Shares) or for any pay related social insurance contributions that are payable or assessable (which, unless the Committee determines otherwise when this Award was made, shall not include employer’s pay related social insurance contributions in Ireland) (together, the “Tax Liability”), the Participant (or his personal representatives) must either:

  • REGISTERED OFFICE & AGENT The name and location of the registered agent will be as stated in the Company’s formation documents and complies with Section 605.0113 of the Act. Pursuant to Section 605.0410 of the Act, the Members are obligated to maintain and update the business records on file with the Company’s registered agent.

  • Registered Office and Resident Agent The Registered Office and Resident Agent of the Company shall be as designated in the initial Articles of Organization/Certificate of Organization or any amendment thereof. The Registered Office and/or Resident Agent may be changed from time to time. Any such change shall be made in accordance with the Statutes, or, if different from the Statutes, in accordance with the provisions of this Agreement. If the Resident Agent shall ever resign, the Company shall promptly appoint a successor agent.

  • Gardens Lawns, xxxxxx, flower beds, trees, shrubs, outside walls and fences.

  • Registered Agent and Registered Office The name of the registered agent of the Trust and the address of the registered office of the Trust are as set forth on the Certificate of Trust.

  • Registered Agent; Registered Office The registered agent for service of process on the Company in the State of Delaware shall be The Corporation Trust Company. The registered office of the Company in the State of Delaware shall be c/o The Corporation Trust Company, Corporation Trust Center, 0000 Xxxxxx Xxxxxx, Xxxxxxxxxx, Xxxxxxxx 00000, in the County of New Castle. The Board of Managers may, from time to time, change the registered agent or office through appropriate filings with the Secretary of State.

  • Registered Office and Registered Agent; Principal Office (a) The registered office of the Company, required by the Act to be maintained in the State of Delaware, shall be the initial registered office named in the Certificate of Formation or such other office (which need not be a place of business of the Company) as the Member or an officer of the Company may designate from time to time in the manner provided by the Act.
