Dover. Dover shall have full responsibility and discretion in conducting, including settling, any Tax Contest that Xxxxxxx does not control pursuant to Section 2.06(b)(i). Dover shall consult in good faith with Xxxxxxx in connection with any Tax Contest described in this Section 2.06(b)(ii). Dover shall provide notice to Xxxxxxx and shall consult in good faith with Xxxxxxx in connection with any Tax Contest in which Xxxxxxx is required to make a payment to Dover under Section 2.02(b)(i) or any Tax Contest in which the outcome is relevant to any member of the Xxxxxxx Group for any Post-Distribution Period.

Dover. Dover shall have full responsibility and discretion in conducting, including settling, any Tax Contest that Apergy does not control pursuant to Section 2.06(b)(i). Subject to Section 2.06(b)(iii), Dover shall provide notice to Apergy and shall consult in good faith with Apergy in connection with any Tax Contest in which Apergy is required to make a payment to Dover under this Agreement or to any Tax Authority or any Tax Contest in which the outcome is reasonably expected to have an adverse effect on any member of the Apergy Group for any Post-Distribution Period. For the avoidance of doubt, Dover’s obligation to consult with Apergy in good faith shall not limit Dover’s discretion in conducting, including settling, any Tax Contest under this Section 2.06(b)(ii).

Buyer acknowledges that, except as expressly provided in Section 5.4(a)(ii), nothing herein grants Buyer any rights in any registered or unregistered Trademarks incorporating the word “Dover” or any of the words, marks, corporate symbols, acronyms or logos listed in Schedule 5.4(a)(i) or any derivation thereof (collectively, the “Dover Marks”). Except to the extent contemplated by Section 5.4(a)(ii), Buyer shall not, and shall cause its Subsidiaries (including, for the avoidance of doubt, all Acquired Companies after the Closing) not to, use the Dover Marks or any Trademark confusingly similar thereto in connection with the operation of the Acquired Businesses.
