Donation Agreement. WFM is excited to offer Alpharetta a donation of certain assets detailed in Exhibit A (the “Assets”) related to the Whole Kids Educational Farm (“Farm”). WFM will transport some of the Assets to the City’s property (as more fully described below), located at ▇▇▇ ▇▇▇ ▇▇▇▇▇▇ ▇▇▇▇, Alpharetta, GA (the “City’s Property”), and provide reasonable assistance to re-build some of the structures (as detailed below). Alpharetta will receive the donation and will operate the farm with the primary purpose of community education. The donation shall be completed on or before January 31, 2018 with signed receipt of this agreement. Title to the Assets will transfer 1) at the time of delivery to the City’s Property if WFM is responsible for the transportation and 2) at the time the City or its contractor picks up the Assets if the City is responsible for the transportation. Donation Description: WFM shall donate the Assets and all redacted program materials, including portions or all of the following as detailed in Exhibit A: • The outdoor classroom, which will be installed in a location reasonably determined by the City • The in-field trellis, which will be installed in a location reasonably determined by the City • The greenhouse, which will be installed in a location reasonably determined by the City • The picnic pavilion, which will be available to the City as soon as reasonably possible (likely in late 2018), for City to deconstruct and relocate no later than 90 days after WFM vacates the current property at ▇▇▇▇ ▇▇▇▇▇ ▇▇▇▇▇▇▇ ▇▇▇▇. WFM will install footing and begin electrical work in the location determined by the City, for City to connect to, once picnic pavilion is installed by City. City understands that if it is unable to remove these assets prior to the sale of the Whole Foods Market property, then it will not be able to remove this portion of the Assets for its use. • Tools, equipment, and supplies, outlined in attached Exhibit A. • Redacted program materials, including printed and digital garden classroom curriculum, literature, and teaching guides. • WFM will cover all costs of deconstructing, relocating, and re-building all above outlined assets, unless specifically stated otherwise. • Farm field soil, which City will need to remove from the Farm site, and relocate at City’s expense.
