Common use of Documents, Records, etc Clause in Contracts

Documents, Records, etc. All documents, records, data, apparatus, equipment and other physical property, whether or not pertaining to Confidential Information, that are furnished to the Executive by the Company or its Affiliates or are produced by the Executive in connection with the Executive’s employment will be and remain the sole property of the Company and its Affiliates. The Executive shall return to the Company all such materials and property as and when requested by the Company. In any event, the Executive shall return all such materials and property immediately upon termination of the Executive’s employment for any reason. The Executive shall not retain any such material or property or any copies thereof after such termination. It is specifically agreed that any documents, card files, notebooks, programs, or similar items containing customer or patient information are the property of the Company and its Affiliates regardless of by whom they were compiled.

The Executive shall will not retain any such material or property or any copies thereof acquired during Executive’s employment after such terminationtermination of employment, including any such material or property on any computer or other device that remains in Executive’s property after the termination of employment. It is specifically agreed that any documents, card files, notebooks, programs, or similar items acquired during Executive’s employment containing customer or patient information are the property of the Company and its Affiliates Group regardless of by whom they were compiled.
