Documents Provided to Subadviser. Investment Manager has delivered or will deliver to Subadviser current copies and supplements thereto of each of the Prospectus and SAI pertaining to the Fund, and will promptly deliver to it all future amendments and supplements, if any.

Manager shall provide Subadviser with reasonable advance notice of (i) any change to a Fund's investment objectives, policies, and restrictions, and (ii) any change to the Trust's compliance policies and procedures that are reasonably likely to affect the management of the Funds or that otherwise relate to Subadviser's duties hereunder.

Investment Manager has delivered or will deliver to Subadviser prior to the execution of this Agreement current copies and supplements or amendments thereto of each of the investment strategies, policies and objectives, the Prospectus and SAI pertaining to the Fund, and on an ongoing basis, will, with reasonable notice, advise Subadviser in writing of each change in the policies and procedures, investment policies and restrictions of the Fund before they become effective and will deliver to Subadviser all future amendments and supplements to the Prospectus and SAI prior to filing the same with the Securities and Exchange Commission, if any. Notwithstanding any provision to the contrary contained in this Agreement, the Subadviser will not be bound to follow any change in the investment policies, restrictions or procedures of the Fund or any amendment or Supplement to the Prospectus or SAI, (i) until Subadviser has received written notice of any such change from the Investment Manager or the Board, (ii) until it has been given a reasonable amount of time to implement such change, and (iii) if such change would cause the Subadviser to breach any legal, tax or regulatory requirements applicable to the Subadviser.
Documents Provided to Subadviser. The Adviser has delivered or will deliver to the Subadviser current copies and supplements thereto of the Portfolios' registration statement that relate to the Subadviser or its management of the Portfolios, and will promptly deliver to the Subadviser all future amendments and supplements, if any, relating to the Subadviser or its management of the Portfolios.

Investment Manager has delivered or will deliver to Subadviser current copies and supplements thereto of each of the Prospectus and SAI pertaining to the Fund, as well as any policies or procedures of Investment Manager or the Fund, and will promptly deliver to it all future amendments and supplements, if any. Investment Manager shall afford Subadviser the reasonable opportunity (e.g., generally at least seven business days) to review any amendment, supplement or other change in the Fund’s Prospectus and SAI or any such policies and procedures concerning Subadviser or its services, or that may affect Subadviser’s rights, duties, obligations or performance under this Agreement, prior to any such amendment, supplement or other change becoming effective.

Investment Manager has delivered or will deliver to Subadviser current copies and supplements thereto of each of the Prospectus and SAI pertaining to the Fund and any Fund policy to be made applicable to the Sub-Adviser hereunder in connection with the management of the Fund. The Investment Manager will, on an ongoing basis and with reasonable advance notice, advise Subadviser in writing of each change in the policies and procedures, investment policies and restrictions of the Fund affecting the Subadviser before they become effective and will promptly deliver to Subadviser all future amendments and supplements to the Prospectus and SAI and the other policies referred to above. If the Investment Manager or the Board notifies the Subadviser of any change in the Subadviser’s rights, obligations or duties hereunder (e.g., through a formal instruction, new or amended investment policies, or a change in applicable law affecting the Fund) the Subadviser shall have a reasonable time to comply with the same. If the Subadviser reasonably determines such change is contrary to the terms of this Agreement, applicable law, internal policy or procedures of the Subadviser, or would otherwise expose the Subadviser to liability, the Subadviser shall promptly notify the Investment Manager of

Investment Manager has delivered or will deliver to Subadviser current copies and supplements thereto of each of the Prospectus and SAI pertaining to the Fund, and will promptly deliver to it all future amendments and supplements regarding changes to Subadviser, its services to the Fund or investment policies and strategies, if any. Notwithstanding any provision to the contrary contained in this Agreement, the Subadviser will not be bound to follow any material change in the investment policies, restrictions or procedures of the Fund or any amendment or Supplement to the Prospectus or SAI, (i) until Subadviser has received written notice of any such change from the Investment Manager or the Board, (ii) until it has been given a reasonable amount of time to implement such change, and (iii) if such change would cause the Subadviser to breach any legal, tax or regulatory requirements applicable to the Subadviser.
Documents Provided to Subadviser. The Investment Manager will provide, or has provided, to the Subadviser, with a copy of the Prospectus and SAI as filed with the SEC, and of the policies and procedures adopted by the Board and/or the Investment Manager which the Subadviser is required to implement in managing the portion of the assets of the Fund allocated to the Subadviser or such other information or documents necessary for the management of the Subadviser’s allocated portion of Fund assets as the Subadviser shall reasonably request or as required by applicable law or regulation. Throughout the term of this Agreement, the Investment Manager shall continue to provide such information and documents to the Subadviser, including any amendments, updates or supplements to such information or documents before or at the time of the amendments, updates or supplements become effective.
