Common use of D&O Insurance Clause in Contracts

D&O Insurance. The Executive shall be entitled to indemnification from the Company to the maximum extent provided by law, but not for any action, suit, arbitration or other proceeding (or portion thereof) initiated by the Executive, unless authorized or ratified by the Board. Such indemnification shall be covered by the terms of the Company's policy of insurance for directors and officers in effect from time to time (the "D&O Insurance"). Copies of the Company's charter, by-laws and D&O Insurance will be made available to the Executive upon request.

The Executive shall be entitled to indemnification from the Company pursuant to, and in accordance with the terms of, (i) the Company’s charter and bylaws, to the maximum extent that indemnification of Executive is provided by lawfor therein, but not for and (ii) any action, suit, arbitration or other proceeding (or portion thereof) initiated D&O insurance policy covering Executive purchased by the Executive, unless authorized or ratified by the Board. Such indemnification shall be covered by the terms of the Company's policy of insurance for directors and officers in effect from time to time (the "D&O Insurance"). Copies of the Company's charter, by-laws and D&O Insurance will be made available to the Executive upon request.

Such indemnification shall be covered by the terms of the Company's policy ’s and the Parent’s policies of insurance for directors and officers in effect from time to time (the "“D&O Insurance"”). Copies of the Parent’s and the Company's charter’s charters, by-laws and D&O Insurance will be made available to the Executive upon request.

D&O Insurance. The Company shall indemnify the Executive shall be entitled against any and all claims and costs of defense arising from or relating to indemnification from the Company Executive’s performance of his job responsibilities to the maximum extent provided by law, but not for any action, suit, arbitration or other proceeding (or portion thereof) initiated by the Executive, unless authorized or ratified by the Board. Such indemnification shall be covered by the terms of the Company's ’s policy of insurance for directors and officers in effect from time to time (the "“D&O Insurance"”). Copies of the Company's ’s charter, by-laws and D&O Insurance will be made available to the Executive upon request.

Copies of the applicable Company's chartercharters, by-laws and D&O Insurance will be made available to the Executive upon request..
