{"component": "clause", "props": {"groups": [{"snippet": "Distributor shall:\n(a) market, advertise, promote, and sell the Goods to Customer s in a manner that reflects favorably at all times on Goods and the good name, goodwill and reputation of Seller and consistent with good business practice , in each case using its best efforts to maximize the sales volume of the Goods;\n(b) maintain a place or places of business in the Territory, including adequate office, storage, and warehouse facilities and all other facilities as required for Distributor to perform its duties under this Agreement in a location or lo cations approved by Seller;\n(c) provide Seller a purchase order and communicate the delivery timelines to the Customer once those timelines are provided to the Distributor by the Seller;\n(d) have sufficient knowledge of the industry and products competitive with each Good (including specifications, features, and benefits) so as to be able to explain in detail to Customers:\n(i) the differences between the Good and competing products; and\n(ii) information on standard protocols and features of each Good;\n(e) unless otherwise defined to the contrary in this Agreement, observe all directions and instructions given to it by Seller in relation to the marketing, advertisement, and promotion of the Goods, including Seller\u2019s sales, marketing, and merchandising policies as they currently exist or as they may hereafter be changed by Seller;\n(f) not use any promotional and marketing materials, whether prepared by Distributor or others, without the prior written consent of Seller.\n(g) establish and maintain a sales and marketing organization sufficient to develop the market potential for the sale of the Goods, and independent sales representatives, facilities, and a distribution organization sufficient to make the Goods available for shipment through Distributor to each Customer within the agreed upon timeframe from receipt of order;\n(h) develop and execute a marketing plan sufficient to fulfill its obligations under this Agreement;\n(i) not make any materially misleading or untrue statements concerning Seller or the Goods, including any product disparagement or \u201cbait-and-switch\u201d practices;\n(j) unless otherwise prohibited by law promptly notify Seller of any complaint or adverse claim about any Good or its use of which Distributor becomes aware;\n(k) submit to Seller complete and accurate monthly reports regarding inventory, marketing, and sales of the Goods in a computer-readable format and containing the scope of information acceptable to Seller, maintain books, records, and accounts of all transactions and permit full examination thereof by Seller in accordance with Section 9;\n(l) not resell Goods to any federal, state, local, or foreign government or political subdivision or agency thereof, without express written approval from Seller; and\n(m) on request, provide Seller with a written forecast of the current and three- month forecast of demand for the Goods in the Territory, especially in relation to similar or competing products; and\n(n) only resell any software or accessories offered by the Seller bundled, or packaged with any Good on those terms and conditions as Seller may, from time to time, require.\n(o) Distributor in its sole discretion may incorporate the sale of Seller\u2019s Products and Services into a larger proposal incorporating Products and Services not of the Seller including but not limited to the following; bundles, financing and payment options, additional services, support, and warranties. In no event will Distributor white label or otherwise change the manufacturing labels of the Goods without prior written permission from Seller or as part of an approved Purchase Order.", Notwithstanding anything to the contrary contained in this Agreement, nothing in this Agreement shall require HBIO or \u2587\u2587\u2587\u2587 to provide services to the other unless expressly required hereby.\n2.2 The Parties acknowledge and agree that \u2587\u2587\u2587\u2587\u2019\u2587 use of the \u2587\u2587\u2587\u2587 \u201cHARVARD APPARATUS\u2019 is at all times subject to the terms, conditions and restriction set forth in the Sublicense Agreement, dated December 8, 2012, by and between \u2587\u2587\u2587\u2587 and HBIO (the \u201cSublicense Agreement\u201d). The rights and obligations of the Parties in this paragraph are at all times subject to the Sublicense Agreement. Distributor shall not delete or alter any of the other Party\u2019s trade names, trademarks, logos, markings, colors or other insignia (the \u201cMarks\u201d) which are affixed to the Products and included in related promotional materials. Distributor may only use the Marks in conjunction with Distributor\u2019s marketing and sale of the Products and in accordance with the other Party\u2019s then-current guidelines on \u2587\u2587\u2587\u2587 usage, which will be provided to Distributor at Distributor\u2019s request. Distributor shall refrain from any other direct or indirect use, reference to, registration of or application to register the Marks or those confusingly similar unless such trademarks are authorized in writing by the other Party. Upon expiration or termination of this Agreement, Distributor shall immediately cease to use any and all Marks. Distributor agrees to immediately notify the other Party of any infringement or potential infringement of any \u2587\u2587\u2587\u2587 of which Distributor becomes aware.\n2.3 Distributor shall be solely responsible, at its own expense, for obtaining and maintaining any and all governmental approvals, permits and/or certifications necessary for Distributor to import, purchase, sell and distribute products.\n2.4 Distributor shall promptly advise the other Party of any complaints or claims brought or threatened against it or the other Party with respect to the sale or use of the products, or with respect to any alleged patent, copyright, trademark, or other intellectual property infringement or misappropriation.\n2.5 Distributor shall take all reasonable, prompt and efficient actions to ensure customer satisfaction with the products and shall resolve all customer complaints in an expedited manner. In the event that a Party receives ten (10) or more complaints that do not relate to the design or manufacturing quality of a product from Distributor\u2019s customers during any one (1) year period which indicate that Distributor has failed to satisfactorily resolve reasonable customer complaints in a timely fashion, such Party shall notify Distributor and Distributor shall be deemed to have breached this Agreement.\n2.6 In no event shall Distributor make any representations or warranties regarding the products which are: (a) not included in, or which are inconsistent with information, materials or specification provided to Distributor; or (b) false, incomplete or otherwise misleading.\n2.7 Distributor personnel shall participate in any training sessions regarding the products and their use as reasonably requested by the other Party.\n2.8 With respect to any HBIO products that \u2587\u2587\u2587\u2587 distributes in accordance herewith, \u2587\u2587\u2587\u2587 agrees to represent and label clearly that such products are for research use only.
