Common use of Distributions Payable in Shares Clause in Contracts

Distributions Payable in Shares. In the event that the Board of the Investment Company shall declare a distribution payable in Shares, the Investment Company shall deliver to FTIS written notice of such declaration signed on behalf of the Investment Company by an officer thereof, upon which FTIS shall be entitled to rely for all purposes, certifying (i) the number of Shares involved, and (ii) that all appropriate action has been taken to effect such distribution.

Distributions Payable in Shares. In the event that the Board of Directors of the Investment Company Fund shall declare a distribution payable in Shares, the Investment Company Fund shall deliver or cause to FTIS be delivered to the Transfer Agent written notice of such declaration signed on behalf of the Investment Company Fund by an officer thereof, upon which FTIS the Transfer Agent shall be entitled to rely for all purposes, certifying (i) the identity of the Shares involved, (ii) the number of Shares involved, and (iiiii) that all appropriate action has been taken to effect such distributiontaken.

In the event that the Board of Trustees of the Investment Company Trust shall declare a distribution payable in Shares, the Investment Company Trust shall deliver or cause to be delivered to FTIS written notice of such declaration signed on behalf of the Investment Company Trust by an officer thereof, upon which FTIS shall be entitled to rely for all purposes, certifying (i) the number of Shares involved, and (ii) that all appropriate action has been taken to effect such distributiontaken.

In the event that the Board of the Investment Company Directors shall declare a distribution payable in Shares, the Investment Company Fund shall deliver to FTIS the Transfer Agent written notice of such declaration declaration, signed on behalf of the Investment Company Fund by an officer thereofOfficer of the Fund, upon which FTIS the Transfer Agent shall be entitled to rely for all purposes, certifying (i) the number of Shares involved, and (ii) that all appropriate action has been taken taken, and (iii) that any amendment to the Articles of Incorporation, which may be required, has been filed and is effective. Such notice shall be accompanied by an opinion of counsel for the Fund relating to the legal adequacy and effect such distributionof the transaction. This provision shall not apply to Shares to be issued in the normal course of reinvestment of any distributions or dividends in accordance with the Fund's Prospectus.

Distributions Payable in Shares. In the event that the Board of Trustees of the Investment Company Funds shall declare a distribution payable in Institutional Shares, the Investment Company Funds shall deliver or cause to FTIS be delivered to the Company written notice of such declaration signed on behalf of the Investment Company Funds by an officer thereof, upon which FTIS the Company shall be entitled to rely for all purposes, certifying (i) the number of Institutional Shares involved, and (ii) that all appropriate action has been taken to effect such distributiontaken.

Distributions Payable in Shares. In the event that the Board of Trustees of the Investment Company Funds shall declare a distribution payable in Investor Shares, the Investment Company Funds shall deliver or cause to FTIS be delivered to the Company written notice of such declaration signed on behalf of the Investment Company Funds by an officer thereof, upon which FTIS the Company shall be entitled to rely for all purposes, certifying (i) the number of Investor Shares involved, and (ii) that all appropriate action has been taken to effect such distributiontaken.
