Distribution Licence. Subject to this Agreement, Customer grants to Hudl and its Associates and their licensees, sublicensees, distributors and subdistributors) the non-exclusive, royalty-free, worldwide, perpetual license to the Relevant Data (including without limitation all rights, consents and licenses that may be required from the athletes, coaches and other persons shown, and the benefit of any waivers but which, for the purposes of this clause 6.2, shall exclude any contact information for coaches or athletes), to use the Relevant Data (which includes the right to sublicense, license, distribute or subdistribute the Relevant Data, in whole or in part, to third parties, including but not limited to Hudl and its Associates’ distributors, independent contractors and agents), in all cases for the Hudl Commercial Purposes, which rights in this clause 6.2 shall survive any termination or expiration of this Agreement (clause 6.2 being the “Distribution Licence”)

Distribution Licence. ITC hereby grants to OEM an exclusive and non- -------------------- transferable licence during the term of this Agreement to distribute the ITC Owned Product(s) as described in "Exhibit A: Part 1" and Composite Product(s) in the agreed Territory. Distribution Licence. 1. B&N hereby grants Cybernet an exclusive, non-transferrable and chronologically and geographically unrestricted distribution right to the products which are the subject of the agreement according to Annex 1, which Cybernet may offer to third parties. Furthermore, Cybernet is entitled to connect these products to Cybernet components and/or process them and to offer the EDI platform created in this manner under its own brand, while existing brands of B&N have to be maintained. The exclusiveness of this licence is solely restricted according to the provisions of & 3. Distribution by third parties in their own name (e.g. Cybernet resellers) requires the advance approval of B&N.   • Distribution Plans You shall also be entitled to compensation for your services as provided in any Distribution Plan adopted as to any series and class of any Fund’s Shares pursuant to Rule 12b-1 under the 1940 Act. The compensation provided in any such Distribution Plan (a “12b-1 Plan”) may be divided into a distribution fee and a service fee, as set forth in such Plan and the Fund’s then current prospectus and statement of additional information (“SAI”), each of which is compensation for different services to be rendered to the Fund.   • Distribution Protocol (1) At a time wholly within the discretion of Class Counsel, but on notice to the Settling Defendants, Class Counsel will bring motions seeking orders from the Courts approving the Distribution Protocol.   • Subscription License A Subscription license will commence on the date specified in the Notification Form and continue in force for the fixed initial term specified therein. The license is firm and cannot be cancelled or otherwise reduced or terminated by Customer during the license term. On expiry of the initial term, the subscription license will terminate unless renewed. Unless otherwise stated in the applicable Notification Form, each subscription license will include the provision of Support Services.
