Disputes – Contract. A. The parties shall deal in good faith and attempt to resolve potential disputes informally. Disputes – Contract. If any dispute concerning a question of fact arising under the terms of this Contract is not disposed of within a reasonable period of time by the Contractor's representative and the County's buyer, such matter shall be brought to the attention of the County's Purchasing Agent or designee for resolution. If resolution of the dispute cannot be reached through this procedure, either party may assert its other rights and remedies within this Contract or within a court of competent jurisdiction. The County and the Contractor agree that in the event of a dispute notwithstanding, they will continue without delay to carry out all their responsibilities under this Contract which are not affected by the dispute.

The Contractor’s written demand shall be fully supported by factual information, and, if such demand involves a cost adjustment to the contract, the Contractor shall include with the demand a written statement signed by a senior official indicating that the demand is made in good faith, that the supporting data are accurate and complete, and that the amount requested accurately reflects the contract adjustment for which the Contractor believes the County is liable.
