Dispute Assistance. If you disagree with a transaction on your Statement or have a dispute with the merchant as a result of the transaction, you will provide information or assistance we reasonably request. Otherwise, you will pay us for any resulting loss we have unless we are prohibited by applicable law from holding you liable for our loss.Youalso will provide reasonable cooperation to usin any investigation,litigation, or prosecution arising in connection with the use of the Card.
Dispute Assistance. Each Party will reasonably cooperate in providing necessary assistance to the other Party when the other Party is actively involved in a dispute with a third party concerning data transmissions that either are or reasonably could be the source of litigation with that third party.

The Sellers agree that in the event of any dispute with respect to the business or operations of Allstate arising out of events which occurred prior to the Closing, they shall cooperate with the Company, at no cost to the Company, in the resolution of such dispute, including, without limitation, making appearances in the Los Angeles, California, Houston, Texas, Phoenix, Arizona and Washington, D.C. areas (it being understood that appearances outside such areas shall be at the expense of the Company) in any litigation which may result therefrom; provided, however, that this agreement by the Sellers to cooperate shall not be deemed an acceptance by the Sellers of any liability arising from such dispute, as to which the other provisions of this Agreement shall control.

Dispute Assistance. Except for claims and/or litigation in which MSB's and the Company's interests are, or have the potential to become, adverse, MSB and the Company shall render assistance to each other in claims and/or litigation in connection with or arising out of this Agreement, including without limitation, any claims and/or litigation involving Company or its employees, agents, consultants or contractors; and any claims and/or litigation brought by or against the MSB and any third parties, by providing appropriate information, analyses, and expert witnesses as necessary to prosecute or defend their own and each other's interests in such claims and/or litigation. Each party shall be solely responsible for the expenses related to the compensation of attorneys, consultants or expert witnesses retained by that party. However, the parties may agree to share such costs to the extent services provided by such professionals benefit both parties. This provision shall not limit in any manner MSB's or the Company's obligations under the indemnification provisions of this Agreement.
Dispute Assistance. Each of the Executives agrees that in the event of any dispute with respect to the business or operations of the Company arising out of events which occurred prior to the Closing, such Executive shall cooperate with Purchaser, in the resolution of such dispute, including, without limitation, making appearances in any litigation which may result therefrom; provided, however, this agreement by the Executives to cooperate shall not be deemed an acceptance by the Executives of any liability arising from such dispute, as to which the other provisions of this Agreement shall control.
Dispute Assistance. Employee acknowledges and agrees that he will ------------------ reasonably assist the Company, at the Company's request and expense, in defending any Claims made against the Company relating to matters occurring during his tenure with the Company. Employee further agrees to not to assist another person or entity in any manner, directly or indirectly, in bringing any Claim against the Company, except when legally required, in which case Employee agrees to notify the Company about such requirement prior to taking any action.
