Discretion of the Plan Administrator. Except as otherwise provided in Section 2(a) above, the Company’s Lapsing Repurchase Right shall terminate, and the Participant’s ownership of all Granted Shares then owned by the Participant shall become vested at any time in the sole discretion of the Administrator of the Plan.

Discretion of the Plan Administrator. The Plan Administrator, and any representative whom it chooses to assist it to carry out its responsibilities under this Plan, shall have the sole and exclusive discretionary authority for, and the maximum discretionary authority permitted by law to, interpret, construe, and administer this Plan, to make determinations regarding enrollment and eligibility for benefits, to evaluate and determine the validity of benefit claims, and to resolve any and all claims and disputes regarding the rights and entitlements of individuals to participate in the Plan and to receive benefits and payments pursuant to this Plan. The decisions of the Plan Administrator shall be conclusive and binding on all persons, subject to the applicable claims and appeals procedures.

  • Plan Administrator Employees must elect a plan administrator during their initial enrollment in Advantage and may change their plan administrator election only during the annual open enrollment and when permitted under Section 5.   • Plan Administrator Duties The Plan Administrator shall administer this Agreement according to its express terms and shall also have the discretion and authority to (i) make, amend, interpret and enforce all appropriate rules and regulations for the administration of this Agreement and (ii) decide or resolve any and all questions, including interpretations of this Agreement, as may arise in connection with this Agreement to the extent the exercise of such discretion and authority does not conflict with Code Section 409A.
