Disclosure of Information. The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Shares with the Company’s management and has had an opportunity to review the Company’s facilities. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 2 of this Agreement or the right of the Purchasers to rely thereon.

Disclosure of Information. The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Shares with the Company’s management and has had an opportunity to review the Company’s facilities. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 2 of this Agreement or the right of the Purchasers to rely thereon.

Disclosure of Information. The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Shares with the Company’s management and has had an opportunity management. Except as set forth in the Transaction Agreements, no representations or warranties, whether written or oral, have been made to review the Purchaser by the Company or any officer, employee, affiliate or agent of the Company’s facilities. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 2 of this Agreement or the right of the Purchasers Purchaser to rely thereon.

Disclosure of Information. The Purchaser Investor has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Subscribed Shares with the Company’s management and has had an opportunity to review the Company’s facilities. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 2 Article II of this Agreement or the right of the Purchasers Investors to rely thereon.

Disclosure of Information. The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Preferred Sale Shares with the Company’s management and has had an opportunity to review the Company’s facilities. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 2 Article II of this Agreement or the right of the Purchasers to rely thereon.

The Purchaser has had an opportunity to discuss the Company’s 's business, management, financial affairs and the terms and conditions of the offering of the Shares Stock with the Company’s 's management and has had an opportunity to review the Company’s 's facilities. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 2 3 of this Agreement or the right of the Purchasers to rely thereon.

The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Shares with the Company’s management and has had an opportunity to review the Company’s facilities. The foregoing; provided, however, does that the foregoing shall not limit or modify the representations and warranties of the Company in Section 2 and Section 6.7 of this Agreement or the right of the Purchasers Purchaser to rely thereon.

Disclosure of Information. The Purchaser Investor has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Purchased Shares with the Company’s management and has had an opportunity to review the Company’s facilities. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 2 3 of this Agreement or the right of the Purchasers Investors to rely thereon.

Disclosure of Information. The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and affairs, the terms and conditions of the offering of the Shares and Anti-Dilution Shares with the Company’s management and has had an the opportunity to review the Company’s facilities. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 2 of this Agreement or the right of the Purchasers Purchaser to rely thereon.

Disclosure of Information. The Purchaser has had an opportunity to visit and inspect the properties of the Company, including its corporate and financial records, and to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Shares Securities with the Company’s management and has had an opportunity to review the Company’s facilitiesmanagement. The foregoing, however, does not limit or modify the representations and or warranties of the Company in Section 2 of this Agreement or the right of the Purchasers Purchaser to rely thereon.

The Purchaser has had an opportunity to discuss the Company’s 's business, management, financial affairs and the terms and conditions of the offering of the Shares Notes and Warrants with the Company’s 's management and has had an opportunity to review the Company’s 's facilities. The Purchaser has received the Memorandum and had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Shares Units with the Company’s management and has had an opportunity to review the Company’s facilitiesmanagement. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 2 of this Agreement or the right of the Purchasers to rely thereon.

Disclosure of Information. The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Shares with the Company’s management and has had an opportunity to review the Company’s facilities. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 2 of this Agreement 3.1 or the right of the Purchasers Purchaser to rely thereon.

Disclosure of Information. The Such Purchaser has had an opportunity to discuss the Company’s business, management, management and financial affairs of the Company and the terms and conditions of the offering of the Company Shares, Alternative Shares or Warrants, as applicable, with the Company’s management and has had an opportunity to review the facilities of the Company’s facilities. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 2 4 of this Agreement or the right of the Purchasers such Purchaser to rely thereon.

Disclosure of Information. The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Shares with the Company’s management and has had an opportunity to review the Company’s facilities. The foregoing, however, does not limit or modify in any way the representations and warranties of the Company in Section 2 of this Agreement or the right of the Purchasers Purchaser to rely thereon.

Disclosure of Information. The Purchaser has been engaged in discussions with the management of the Company since at least January 1, 2009, and has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Shares with the Company’s management and has had an opportunity to review the Company’s facilitiesoperations. In addition, the Purchaser has had extensive involvement in the development of the Budget. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 2 of this Agreement or the right of the Purchasers Purchaser to rely thereon.

Disclosure of Information. The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Shares and the terms of the Merger with the Company’s management and has had an opportunity to review the Company’s facilitiesmanagement. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 2 of this Agreement or the right of the Purchasers to rely thereon.

Disclosure of Information. The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Shares Securities with the Company’s management and has had an opportunity to review the Company’s facilities. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 2 of this Agreement or the right of the Purchasers to rely thereon.

The Purchaser Company has had an opportunity to discuss the CompanyPurchaser’s business, management, financial affairs and the terms and conditions of the offering of the Shares Purchaser Common Stock with the CompanyPurchaser’s management and has had an opportunity to review the Company’s facilitiesmanagement. The foregoing, however, does not limit or modify the representations and warranties of the Company Purchaser in Section 2 3 of this Agreement or the right of the Purchasers Company to rely thereon.

The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Shares with the Company’s management Seller and has have had an opportunity to ask questions and review the Company’s facilitiesFinancial Statements. The foregoing, however, does not limit or modify the representations and warranties of the Company Seller in Section 2 Article V of this Agreement or the right of the Purchasers Purchaser to rely thereonon the Seller’s warranties and representations in this Agreement.

Disclosure of Information. The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Shares Securities with the Company’s management and has had an opportunity to review the Company’s facilities. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section ARTICLE 2 of this Agreement or the right of the Purchasers Purchaser to rely thereon.

The Purchaser has had an opportunity to discuss the Company’s businessBusiness, management, financial affairs and the terms and conditions of the offering of the Holdings Common Shares with the Company’s management and has had an opportunity to review the Company’s facilities. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 2 of this Agreement or the right of the Purchasers Purchaser to rely thereon.

Disclosure of Information. The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering issuance of the Shares Membership Interests with the Company’s management and has had an opportunity to review the Company’s facilities’s. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 2 of this Agreement or the right of the Purchasers Purchaser to rely thereon.

Disclosure of Information. The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Shares Units with the Company’s management and has had an opportunity to review the Company’s facilities. The foregoing, however, does not limit or modify the representations and representations, warranties or covenants of the Company in Section Article 2 of this Agreement or the right of the Purchasers to rely thereon.

Disclosure of Information. The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Options and Shares with the Company’s management and has had an opportunity management. Except as set forth in the Transaction Agreements, no representations or warranties, whether written or oral, have been made to review the Company’s facilitiesPurchaser by the Capital Stockholders. The foregoing, however, does not limit or modify the representations and warranties of the Company Capital Stockholders in Section 2 of this Agreement or the right of the Purchasers Purchaser to rely thereon.

Disclosure of Information. The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering Offering of the Shares Shares, with the Company’s management and has had an opportunity to review the Company’s facilities. The foregoing, however, does not limit or modify the representations and warranties of the Company in in Section 2 3 of this Agreement (as modified by the Company Disclosure Schedule attached as Exhibit B to this Agreement), or the right of the Purchasers to rely thereon.

Disclosure of Information. The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Primary Shares with the Company’s management and has had an opportunity to review the Company’s facilitiesCompanies’ management. The foregoing, however, does not limit or modify the representations and warranties of the Company Companies in Section 2 ‎5 of this Agreement or the right of the Purchasers Purchaser to rely thereon.

Disclosure of Information. The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Options and Shares with the Company’s management and has had an opportunity management. The Purchaser has had an opportunity to discuss the CompanyCorporation’s business, management, financial affairs and the terms and conditions of the offering of the Shares with the CompanyCorporation’s management and has had an opportunity to review the CompanyCorporation’s facilities. The foregoing, however, does not limit or modify the representations and warranties of the Company Corporation in Section 2 of this Agreement or the right of the Purchasers to rely thereon.

Disclosure of Information. The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Shares with the Company’s management and has had an opportunity to review the Company’s facilities. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section Article 2 of this Agreement or the right of the Purchasers to rely thereon.

The Purchaser has had an opportunity to discuss the Company’s business, management, financial affairs and the terms and conditions of the offering of the Shares Notes with the Company’s management and has had an opportunity to review the Company’s facilities. The foregoing, however, does not limit or modify the representations and warranties of the Company in Section 2 of this Agreement or the right of the Purchasers Purchaser to rely thereon.
