Disbandment. The procedures for disbanding a Department or Chapter that are contained in the National Bylaws must be followed if Department or Chapter wishes to disband. The Department or Chapter must file with the I.R.S., a final 990, before they are approved to disband.
Disbandment. 22.01 In the event that the Municipal Council requests that the police service governed by this collective agreement be disbanded, the parties agree that they shall meet together and negotiate, in good faith, concerning issues of concern arising from disbandment. These negotiations shall be without prejudice to the position of either party concerning any issues.

For clarity, the Patent Working Group shall survive dissolution of the JSC until such time as the Parties mutually agree to disband it.
Disbandment. Upon Marketing Authorization of the Product in all countries of the Territory, unless otherwise mutually agreed in writing, the JSC shall have no further responsibilities or authority under this Agreement and will be considered dissolved by the Parties.

Upon Regulatory Approval of the last Licensed Product developed pursuant to the Development Plan and Budget, unless otherwise mutually agreed in writing, the JDC shall have no further responsibilities or authority under this Agreement and will be considered dissolved by the Parties. Additionally, in the event of a Change in Control of Galapagos, Xxxxxx shall have the right at any time and for any reason, effective upon written notice, to disband the JDC pursuant to Section 13.2.2.
Disbandment. The JDC shall remain in effect from the date on which it is established in accordance with Section 3.1 until, on a Research Program-by-Research Program basis, the earlier of (a) expiration of the Term and (b) Spyre’s exercise of the Option in accordance with Section 4.3.

The JSC shall continue to exist until the first to occur of: (a) the Parties mutually agreeing to disband the JSC; (b) Licensor providing to Denali written notice of its intention to disband and no longer participate in the JSC; provided, that Licensor shall not give such written notice prior to Fcab Delivery in respect of each Accepted Fcab Target; or (c) the later of (i) Denali ceasing Technical Development and (ii) Fcab Delivery for the last Accepted Fcab Target to achieve Fcab Delivery (unless otherwise mutually agreed in writing) provided always that the responsibilities of the JSC that continue past such disbandment (including those under Sections 2.2.6 and 2.2.7) shall be undertaken by the Alliance Managers but otherwise in accordance with this ARTICLE 2. Notwithstanding anything herein to the contrary, upon the first to occur of the foregoing (a), (b) or (c), the JSC shall be terminated and shall have no further rights or obligations under this Agreement, and thereafter any requirement of either Party to provide Information or other materials to the JSC shall be deemed a requirement to provide such Information or other materials to the other Party, and any matters requiring agreement shall be subject to the mutual review and agreement of both Denali and Licensor.

Upon expiration of the RA Review Period and the SLE Review Period without AbbVie proceeding with the In-Licensing, the JSC shall have no further responsibilities or authority under this Agreement and will be considered dissolved by the Parties. Additionally, in the event of a Change in Control of Ablynx, AbbVie shall have the right at any time and for any reason, effective upon written notice, to disband the JSC pursuant to Section 13.2.2.

Upon (i) expiration of the RA Review Period and the SLE Review Period without AbbVie proceeding with the In-Licensing, or (ii) Regulatory Approval of the last Licensed Product developed pursuant to a Development Plan, unless otherwise mutually agreed in writing, the JDC shall have no further responsibilities or authority under this Agreement and will be considered dissolved by the Parties. Additionally, in the event of a Change in Control of Ablynx, AbbVie shall have the right at any time and for any reason, effective upon written notice, to disband the JDC pursuant to Section 13.2.2.
