Common use of Disallowance Clause in Contracts

Disallowance. a. If Contractor claims or receives payment from the District for a service that is later disallowed by the State of California or United States Government, Contractor shall promptly refund the disallowed amount to the District upon the District’s request. At its option, the District may offset the amount disallowed from any payment due or that may become due to Contractor under this Agreement.
