Directors’ Expenses. The Company shall reimburse the directors on the Board for all reasonable and documented out-of-pocket expenses incurred by them in connection with attendance at all meetings of the Board (including any meetings of committees of the Board) and the board of directors of each of the Company’s subsidiaries (including any meetings of committees thereof) or attending to other matters requested by the Company.
Directors’ Expenses. The Company shall not pay any compensation to any member of the Company's Board of Directors in connection with the performance of their duties as a Director, provided however, the Company shall pay reasonable expenses incurred by Directors in performance of their duties.
Directors’ Expenses. The Company shall reimburse its non-employee directors for reasonable out-of-pocket business expenses incurred with respect to travel or promotion related to the Company, as approved by the Board of Directors.

The reasonable out-of-pocket and travel expenses of any non-employee directors that are incurred in attending Board meetings (or meetings of committees thereof) or in connection with the performance of their duties as directors shall be paid or reimbursed promptly by the Company. Such expenses shall likewise be reimbursed when incurred by (i) the non-voting representative selected by HealthCap V L.P. (“HealthCap”) pursuant to paragraph 3 of the Management Rights Letter dated as of February 9, 2010, in attending Board meetings not attended by the director designated by HealthCap pursuant to Section 1.1(e) of the Amended and Restated Voting Agreement dated as of the date hereof (the “A&R Voting Agreement”) and (ii) the BSC Board Observer selected by BSC, the Kaiser Board Observer selected by the Kaiser Funds and the Xxxx Board Observer selected by the Xxxx Funds pursuant to Section 2.3 of this Agreement, in attending Board meetings. The Board of Directors will establish a budget for out-of-pocket and travel expenses, with the understanding that only those expenses incurred up to the established budget will be reimbursed by the Company pursuant to this Section 2.10.

The Directors may at the discretion of the Governing Body be paid all reasonable and proper out of pocket travelling, hotel and other expenses, excluding foreign travel (unless specifically authorised by the Directors for the proper conduct of the operation of the Trust), properly incurred by them in connection with their attendance at meetings of Directors or committees of Directors or general meetings or otherwise in connection with the discharge of their duties, but shall otherwise be paid no remuneration.

Directors’ Expenses. Each director of the Company (and any observer pursuant to Section 10(j)) shall be reimbursed for his actual out of pocket expenses incurred in attending each meeting of the Board of Directors or any committee thereof. In addition, if any of the directors nominated by the RFE Group pursuant to Section 10(b)(ii) is a person with outside operating experience and not otherwise affiliated with any member of the RFE Group, the Company will pay such director reasonable directors fees.
