Direction to Clause Samples
The 'Direction to' clause authorizes one party to instruct another party or a third party to take specific actions as required under the agreement. In practice, this clause may empower a client to direct a contractor to perform additional work, or require a party to instruct a bank to release funds. Its core function is to ensure that necessary instructions are formally given and followed, facilitating smooth execution of contractual obligations and reducing ambiguity about who is responsible for issuing directions.
