Direct Engagement. In the event ANTRA exercises or intends to exercise its right to extend a Furnishing Agreement for an option period and you do not desire to continue to furnish such Artist's services, then you shall so advise ANTRA and, if ANTRA so elects, you shall assign ANTRA all your rights from such date onwards with respect of such Artist and such Artist's Recordings, and you shall have no interest therein.

Direct Engagement. 13.1 During the term of this Agreement and for 12 months thereafter neither party shall solicit, entice or offer employment to any person employed or engaged by the other party without the express written consent of the other party except where such person is recruited as a result of an otherwise unsolicited response to a public recruitment advertisement. If a party breaches this Clause 13, that party shall pay to the other a sum equivalent to such person’s total compensation for his first 12 months’ work for any person other than the party which employed him. The parties agree that such sum, constituting liquidated damages, represents a Commercial in Confidence fair estimate of the cost to the party which employed the person of recruiting a suitable replacement for such person.

  • Optional Services To the extent that the Fund elects to engage the Transfer Agent to provide the services listed below the Fund shall engage the Transfer Agent to provide such services upon terms and fees to be agreed upon by the parties:

  • Contract Management To ensure full performance of the Contract and compliance with applicable law, the System Agency may take actions including:

The Asset Representations Reviewer will ensure that these systems allow for each Review Receivable and the related Review Materials to be individually tracked and stored as contemplated by this Agreement. The Asset Representations Reviewer will maintain adequate staff that is properly trained to conduct Reviews as required by this Agreement.

  • Statement of Work The Contractor shall provide the services and staff, and otherwise do all things necessary for or incidental to the performance of work, as set forth below:

  • Call Center Services Answer telephone inquiries during mutually agreed upon hours each day on which the Fund is open for trading. In the event that the Fund plans to be open on a business day when the New York Stock Exchange is to be closed, the Fund shall provide the Transfer Agent with reasonable advance notice and the parties shall discuss the call center resources available for such day. The Transfer Agent shall answer and respond to inquiries from existing Shareholders, prospective Shareholders of the Fund and broker-dealers on behalf of such Shareholders in accordance with the instructions provided by the Fund to the Transfer Agent for purpose of fulfilling its duties under this Agreement, including, accepting transaction requests on behalf of the Fund.

  • Hosting Services 13.1 If Supplier or its subcontractor, affiliate or any other person or entity providing products or services under the Contract Hosts Customer Data in connection with an Acquisition, the provisions of Appendix 1, attached hereto and incorporated herein, apply to such Acquisition.

  • Support Services HP’s support services will be described in the applicable Supporting Material, which will cover the description of HP’s offering, eligibility requirements, service limitations and Customer responsibilities, as well as the Customer systems supported.
