Diminution of Responsibility. (A) any material reduction in his duties or responsibilities as in effect immediately prior thereto, (B) removal of Executive from the position of Chief Executive Officer of the Company or President of BLS, except in connection with the termination of his employment for Disability, Cause, as a result of his death or by Executive other than for Good Reason, or (C) any failure to re-nominate Executive to the Board (including by reason of the failure to obtain any supermajority approval of directors as provided for in Section 2(a) hereof); or

Diminution of Responsibility. Following the CEO Start Date, (A) any material reduction in Executive’s title, reporting relationship, duties or responsibilities as Chief Executive Officer as in effect immediately prior thereto (other than a reduction where Executive is provided with other duties or responsibilities substantially comparable to Executive’s overall duties and responsibilities prior to such reduction) or (B) removal of Executive from the position of Chief Executive Officer during the Employment Term, except, in each case, in connection with the termination of Executive’s employment for Disability, Cause, as a result of Executive’s death or by Executive other than for Good Reason; provided, that, for the avoidance of doubt, the removal of Executive from the position as Chairman of the Board for any or no reason shall not constitute Good Reason;

Diminution of Responsibility. (A) Any material reduction in Executive’s duties or responsibilities as (i) Chief Executive Officer of the Pharma Business between the Initial Commencement Date and the Bausch Pharma Commencement Date or (ii) Chief Executive Officer of the Company following the Bausch Pharma Commencement Date, in each case as in effect immediately prior thereto (other than a reduction where Executive is provided with other duties or responsibilities substantially comparable to Executive’s overall duties and responsibilities prior to such reduction) or (B) removal of Executive from the position of (i) Chief Executive Officer of the Pharma Business between the Initial Commencement Date and the Bausch Pharma Commencement Date or (ii) Chief Executive Officer of the Company following the Bausch Pharma Commencement Date (or, following a Change in Control or a corporate restructuring, removal from the position of Chief Executive Officer of the ultimate parent company of the resulting entity), except, in each of (A) and (B), in connection with (1) the termination of Executive’s employment for Disability, Cause, as a result of Executive’s death or by Executive other than for Good Reason, or (2) for the avoidance of doubt, the changes in the Executive’s position and reporting relationship contemplated by Section 2(a);
Diminution of Responsibility. (A) A diminution in Executive's title or position as in effect immediately prior thereto; (B) a material diminution in Executive's status, title, or responsibilities (including reporting responsibilities) as in effect immediately prior thereto (including, but not limited to, as Good Reason, the Company's becoming a subsidiary of another entity and Executive's not being offered a position that is comparable in scope to the position that he held with the Company immediately prior to the Company's becoming a subsidiary, provided, however, that Executive's no longer serving as Chief Executive Officer of a publicly-traded company shall not, in itself, be deemed to constitute Good Reason); (C) the assignment to Executive of any duties or responsibilities that are materially inconsistent with such status, title, position or responsibilities; (D) any removal of Executive from or failure to reappoint or reelect Executive to the position of President and Chief Operating Officer, except in connection with the termination of his employment for Disability, Cause, as a result of his death or by Executive other than for Good Reason, or except as a result of his appointment as President and Chief Executive Officer; or (E) any removal of Executive from or failure to reappoint or reelect Executive (or appointment or election of any other person) to the position of Chief Executive Officer once Executive is so elected, except in connection with the termination of his employment for Disability, Cause, as a result of Executive's death or by Executive other than for Good Reason;
