Common use of Devotion of Time Clause in Contracts

Devotion of Time. Executive shall devote substantially all of Executive's business time and attention and dedicate Executive's reasonable best efforts toward the fulfillment and execution, including performance criteria, of Executive's duties pursuant to this Agreement; provided, however, Executive may on Executive's own time (i) engage in such charitable and civic matters and (ii) manage his personal affairs and investments, so long as they do not, in the good faith determination of the Board of Directors, interfere in any material respect with the performance of his duties hereunder.

Devotion of Time. During Executive’s Employment, Executive shall devote substantially all of Executive's ’s business time and attention and dedicate Executive's reasonable best efforts toward to the fulfillment and execution, including performance criteria, of Executive's ’s duties pursuant to this Agreement; provided, however, Executive may on Executive's own time (i) hereunder and will not engage in such charitable and civic matters and (ii) manage his personal affairs and investmentsany other business, so long as they do notprofession, in the good faith determination of the Board of Directors, or occupation for compensation or otherwise which would conflict or interfere in any material respect with the performance of his duties hereundersuch services either directly or indirectly without the prior written consent of the CEO.

Devotion of Time. The Executive shall devote substantially all of such working time, attention, knowledge, skills and efforts as may be required to fulfill the Executive's business time and attention and dedicate Executive's reasonable best efforts toward ’s duties hereunder, as reasonably determined by the fulfillment and execution, including performance criteria, of Executive's duties pursuant to this Agreement; provided, however, Board and/or the Company’s CEO. The Executive may on Executive's own time (i) engage participate as a member of the board of directors or advisory board of other entities and in such charitable professional organizations and civic matters and (ii) manage his personal affairs and investments, charitable organizations so long as they do not, in the good faith determination of any such positions are disclosed to the Board of Directors, and do not materially interfere in any material respect with the performance of his Executive’s duties hereunderand responsibilities to the Company.

Devotion of Time. During the Term, Executive shall devote substantially all of Executive's business time his working time, care and attention to his duties, responsibilities and dedicate Executive's reasonable best efforts toward obligations to the fulfillment Company. Executive may serve on the boards of civic and executioncharitable entities and, including performance criteriawith the prior written consent of the CEO, of Executive's duties pursuant to this Agreementother corporate entities; provided, however, Executive may on Executive's own time (i) engage in that such charitable and civic matters and (ii) manage his personal affairs and investments, so long as they activities do not, either individually or in the good faith determination of the Board of Directorsaggregate, interfere in any material respect or conflict with Executive’s duties and responsibilities with the performance of his duties hereunderCompany.
