Development Diligence and Responsibilities. Subject to the terms of this Agreement, Partner will be responsible for and will use Commercially Reasonable Efforts to Clinically Develop and seek, obtain, and maintain Regulatory Approval for the Licensed Product in each Indication included in the Territory Development Plan in each country or region in the Territory (“Territory Development”). Without limiting the generality of the foregoing, Partner will use Commercially Reasonable Efforts (a) to perform the activities set forth in, and perform Territory Development of the Licensed Product in accordance with, the Territory Development Plan for the Licensed Product and achieve the objectives set forth therein, and (b) solely to the extent Partner has agreed, following review and discussion by the JSC, to serve as the Territory Sponsor for a given Global Clinical Trial under the Global Development Plan, conduct the tasks assigned to Partner in the Global Development Plan in accordance with Section 5.3 (Global Development Plan).
Development Diligence and Responsibilities. Licensee shall conduct Development activities under this Agreement in accordance with the Development Plan and in a good scientific manner and comply in all material respects with applicable Laws. In particular, Licensee shall:
(a) communicate with one or more regulatory authorities in at least one country in Tier 1 Territory (e.g., EMA, SwissMedic, MHRA, etc.) within six (6) months of the Effective Date; and
(b) initiate a Clinical Trial in support of the Product for SBS within six (6) months of the achievement of the milestone event set forth in Section 9.3(a).
Development Diligence and Responsibilities. CAMP4 will, either directly or by or with an Affiliate or a Sublicensee, use Commercially Reasonable Efforts to Develop a Licensed Product in the Field in the Territory.

Subject to the terms of this Agreement, Kissei will be responsible, and will use Commercially Reasonable Efforts, to Develop and to seek, obtain, and maintain Regulatory Approval in the Territory for at least one Licensed Product in each of [***] (“Territory Development”). Without limiting the generality of the foregoing, Kissei will perform the activities set forth in, and Develop the Licensed Products in accordance with, each Territory Development Plan for the Licensed Products and achieve the objectives set forth therein. Kissei will not perform any Development activities for the Licensed Products other than those expressly set forth in a Territory Development Plan, without Viridian’s prior written consent, such consent not to be unreasonably withheld, conditioned, or delayed.
