DETERMINATION OF ISSUES. N By reason of the foregoing stipulations, admissions w and waivers and solely for the purpose of settlement of the pending Accusation without a hearing, it is stipulated and agreed that the following determination of issues shall be made: on The conduct of Respondent, as set forth in the 7 Accusation constitutes grounds for suspension or revocation of Respondent's real estate broker license under the provisions of 9 Sections 490 and 10177 (b) of the Business and Professions Code. 10 ORDER 11 WHEREFORE, THE FOLLOWING ORDER is hereby made: 12 All licenses and licensing rights of Respondent XXXXXX 13 XXX XXXXXXXXX, under the Real Estate Law are revoked; provided, 14 however, a restricted real estate broker license shall be issued 15 to Respondent pursuant to Section 10156.5 of the Business and 16 Professions Code, if Respondent makes application therefor_and 17 pays to the Department the appropriate within 90 days from 18 the effective date of this Decision. DETERMINATION OF ISSUES. The referee shall be required to determine all issues in accordance with existing case law and the statutory law of the State of Delaware; provided, however, that the referee shall apply the rules of civil procedure and evidence applicable to proceedings at law in the State of California. The referee shall be empowered to enter equitable as well as legal relief, to provide all temporary and/or provisional remedies and to enter equitable orders that will be binding upon the parties. The referee shall issue written findings of fact and conclusions of law, a written statement of decision, and a single judgment at the close of the reference proceeding that shall dispose of all of the claims of the parties that are the subject of the reference. The parties hereto expressly reserve the right to contest or appeal from the final judgment or any appealable order or appealable judgment entered by the referee. The parties hereto also expressly reserve the right to move for a new trial or a different judgment, which new trial, if granted, is also to be a reference proceeding under this provision.
DETERMINATION OF ISSUES. The Finance Parties agree that, in its capacity as trustee in relation to the Trust Documents, the Security Trustee shall have full power to determine all questions and doubts arising in relation to the interpretation or application of any of the provisions of this Agreement or any of the other Trust Documents as it affects the Security Trustee and every such determination (whether made upon a question actually raised or implied in the acts or proceedings of the Security Trustee) shall be conclusive and shall bind each of the Finance Parties (save in the case of manifest error or the wilful misconduct or gross negligence of the Security Trustee).
