Common use of Details of the Processing Clause in Contracts

Details of the Processing. The subject-matter of Processing of Personal Data by AudioCodes is the performance of the Services pursuant to the Agreement. The duration of the Processing, the nature and purpose of the Processing, the types of Personal Data and categories of Data Subjects Processed under this DPA are further specified in Annex 1 to this DPA. The Parties acknowledge, however, that Customer’s Data provided in electronic format (e.g. e-mail) may be copied by the Processor as part of its back-up procedures, such copies will be retained in accordance with the Processor’s data retention policy for its electronic back up and the Processor undertakes that it shall destroy or return such copies upon request of the Customer unless Processor can demonstrate it has a right or obligation to retain all or part of the Personal Data for a longer period or where the retention of the copies is necessary for Processor to provide proof of the due performance of its contractual obligations.
