Designation of Bank. Xxxxx Fargo Bank, National Association shall be the Bank hereunder until such time as the Majority Bondowners designate an alternate Person to serve as the Bank hereunder by delivery of written notice to the Agency and such Person accepts and agrees to act as the Bank hereunder and under the Related Documents. The Majority Bondowners may so designate an alternate Person to act as the Bank from time to time. Upon acceptance and notification thereof to the Agency, the successor to Bank for such purposes shall thereupon succeed to and become vested with all of the rights, powers, privileges and responsibilities of the Bank, and Xxxxx Fargo Bank, National Association or any other Person being replaced as the Bank shall be discharged from its duties and obligations as the Bank hereunder.

Designation of Bank. Intermediary and Exchanger hereby mutually designate Bank to act as the depository of the Exchange Proceeds on the terms and conditions set forth herein. Bank agrees to open an account (the “Escrow Account”) in the name of Intermediary into which the Exchange Proceeds may be deposited, held and released in accordance with this Agreement. Bank warrants that it is a state chartered financial institution.

The merger of the General Partner with or into any entity that is admitted as a substitute or successor General Partner pursuant to Section 7.2 hereof shall not be deemed to be the withdrawal, dissolution or removal of the General Partner.

  • Designation of Additional Accounts The Seller hereby delivers herewith a computer file or microfiche or written list containing a true and complete list of all such Additional Accounts specifying for each such Account, as of the Additional Cut-Off Date, its account number, the aggregate amount of Receivables outstanding in such Account and the aggregate amount of Principal Receivables in such Account. Such file or list shall, as of the date of this Assignment, supplement Schedule 1 to the Agreement.
