Design Build Team. In carrying out its responsibilities under this Agreement, the Design/Builder shall use skilled employees, Consultants and Subcontractors with proven experience in projects of comparable type, size and complexity, and holding such professional licenses or registrations required by Applicable Law. The Design/Builder’s personnel, Consultants and Subcontractors assigned to the Project are set forth in Exhibit B, changes or additions to which after the execution of hereof shall be subject to the Owner’s sole discretion and
Design Build Team is comprised of the Design-Builder, the Design Consultant, and key Subcontractors identified by the Design-Builder.
Design Build Team. 2.1 RESPONSIBILITY ALLOCATION. The components of the Design Team shall have primary responsibilities as follows:
2.1.1 Design services shall be performed by the A/E of the DESIGN/BUILD TEAM as well as the appropriate consultants (engineers, etc.) selected and paid by the DESIGN/BUILD TEAM and acting in the interest of the DESIGN/BUILD TEAM. As part of the proposal of DESIGN/ BUILD TEAM, has been selected as the A/E for the Project and is, or shall be promptly, under contract with the DESIGN/BUILD TEAM. DESIGN/BUILD TEAM shall notify CITY of any substantial change in the composition of the A/E assigned to the Project, including but not limited to any major changes of staffing or assignments of architects to the Project. Any substantial change in the composition of the A/E must be approved by CITY in writing. The identity of the leader of the specific functions of DESIGN/BUILD TEAM is , principal in charge of coordination of all design services. Said leadership shall not be changed or substituted without written approval of the CITY.
2.1.2 Construction shall be performed in accordance with this Agreement and the Contract Documents by the qualified general contractor component of the DESIGN/BUILD TEAM as well as the appropriate subcontractors and suppliers at any tier in privity with the DESIGN/BUILD TEAM. Design Work shall be performed in accordance with this Agreement and the Contract Documents by the A/E component of the DESIGN/BUILD TEAM as well as the appropriate consultants at any tier in privity with the A/E.
2.1.3 The DESIGN/BUILD TEAM shall be responsible to the CITY for wrongful or negligent acts, errors or omissions of the DESIGN/BUILD TEAM's employees and parties in privity of contract with the DESIGN/BUILD TEAM, at any tier, to perform any portion of the Work, including their agents and employees.
Design Build Team and Owner understand and agree that in no instance are the persons signing this Agreement for or on behalf of Owner or acting as an employee, agent, or representative of Owner, liable on this Agreement or any of the Contract Documents, or upon any warranty of authority, or otherwise. Design-Build Team and Owner understand and agree further that liability of Owner is limited and confined to such liability as authorized or imposed by the Contract Documents or applicable law.
Design Build Team. The Design Builder will lead the Design Build Team and is solely responsible to District for the sufficiency, quality, adequacy, and completeness of the Work in accordance with the Contract Documents; provided, however, that the Design Build Team shall not be responsible for the sufficiency, quality, adequacy or completeness of any work performed by the District’s separate contractors. All Design Services will be performed by licensed Design Professionals or through Design Build Subcontractors. The Design Build Team is set forth in Exhibit 5B.
