Deregistration. 5.13.1 A Yukon First Nation may deregister a Parcel of Category A Settlement Land which is registered in the Land Titles Office and is free and clear of any interest in land recognized in Law, other than:
Deregistration. Institution, on behalf of itself, the Investigator and its Research Staff represents and warrants that neither it, nor any other person retained by it to perform the Study pursuant to this Agreement (i) has previously been “struck-off”, debarred, deregistered or otherwise had it/his/her right to conduct clinical studies revoked by any national, foreign or international authority/organization, (ii) is aware of the initiation of any proceedings involving his/her disqualification, deregistration or debarment, or (iii) has been charged with crimes resulting in the revoking of such right. Institution, on behalf of itself and its Research Staff and Investigator shall inform Chiltern without delay should any revocation, deregistration or debarment be announced during the Study.
Deregistration. (a) Provider, on behalf of itself and its Cooperating person, and Investigator each represent and warrant that neither it/he/she, nor any other person retained by it/he/she to perform the Study pursuant to this Agreement (i) has previously been “struck-off”, debarred, deregistered or otherwise had it/his/her right to conduct clinical studies revoked by any national, foreign or international authority/organization, (ii) is aware of the initiation of any proceedings involving his/her disqualification, deregistration or debarment, or (iii) has been charged with crimes resulting in the revoking of such right. Provider, on behalf of itself and its Cooperating person, and Investigator shall inform Xxxxxxxx without delay should any revocation, deregistration or debarment be announced during the Study.
Deregistration. Each of the parties hereto agrees to cooperate with the other parties in taking, or causing to be taken, all actions necessary to terminate the registration of the Shares under the Exchange Act promptly following the Effective Time.
Deregistration. 1. A Taxable Person who is registered for Tax purposes must apply for deregistration in any of the following cases:
Deregistration. If an Event of Default occurs, Lessor may sell or otherwise deal with the Aircraft free and clear of any leasehold or other interest of Lessee as if this Agreement had never been made and Lessee will, at the request and expense of Lessor, take all steps necessary to effect (if applicable) deregistration of the Aircraft and its export from the country where the Aircraft is situated and any other steps necessary to enable the Aircraft to be delivered, at Lessor's option, outside the United States; Lessee hereby irrevocably and by way of security for its obligations under this Agreement appoints (which appointment is coupled with an interest) Lessor as its attorney to execute and deliver any documentation and to do any act or thing required in connection with the foregoing.
Deregistration. If an Event of Default occurs, Lessor may sell or otherwise deal with the Aircraft as if this Agreement had never been made and Lessee will at the request of Lessor take all steps necessary to effect (if applicable) deregistration of the Aircraft and its export from the country where the Aircraft is for the time being situated and any other steps necessary to enable the Aircraft to be redelivered to Lessor in accordance with this Agreement.
Deregistration. Prior to the Closing Date, the Company shall cooperate with Parent and use reasonable best efforts to take, or cause to be taken, all actions, and do or cause to be done all things, reasonably necessary, proper or advisable on its part under applicable Laws and rules and policies of Nasdaq to enable the termination by the Surviving Corporation of the listing of the Company Common Stock on Nasdaq as promptly as practicable after the Effective Time and the deregistration of the Company Common Stock under the Exchange Act as promptly as practicable after such delisting.
Deregistration. Prior to the Closing Date, the Company shall cooperate with Parent and use reasonable best efforts to take, or cause to be taken, all actions necessary or advisable on its part under applicable Laws to enable the deregistration of the Shares under the Exchange Act as promptly as practicable after (and only after) the Effective Time and the Surviving Corporation shall file with the SEC a Form 15 on or as promptly as practicable following the Effective Time.
Deregistration. Parent shall use its reasonable best efforts to take, or cause to be taken, all actions reasonably necessary, proper or advisable on its part under applicable Laws to enable the Company’s securities to be de-registered under the Exchange Act as soon as practicable following the Effective Time.
