Common use of Depositor as Certificateholder Clause in Contracts

Depositor as Certificateholder. In determining whether the Holders of the requisite amount of Certificates of any Class have given any request, demand, authorization, direction, notice, consent or waiver hereunder, any Certificate held by the Depositor, its affiliates or agents shall be disregarded and deemed not to be outstanding (unless all of the Certificates shall be so held by the Depositor, its affiliates or agents).
