Common use of Demotion or Transfer Clause in Contracts

Demotion or Transfer. If Employee is demoted or transferred to a position with the Company or any of its Affiliates in which Employee is not eligible to participate in the Plan prior to the expiration of the Performance Period, as determined by the Committee, this Agreement will terminate and be of no further force or effect and the Performance Shares awarded to Employee hereunder shall be forfeited.

Demotion or Transfer. If In the event that Employee is demoted or transferred to a position with the Company or any of its Affiliates in which Employee is not eligible to participate in the Plan prior to the expiration of the Performance PeriodPlan, as determined by the CommitteeCommittee in its sole discretion, this Agreement will terminate and be of no further force or effect and the Performance Shares Restricted Share Units awarded to Employee hereunder shall be forfeited.
