Delivering to Seller the Purchase Price, plus or minus closing adjustments and prorations; the Closing Statement; a conformed copy of the Bills of Sale, REAs, Deed, and Memorandum of Lease, showing the recording information of each; an original of each Ground Lease, the General Assignment and Assumption, the Assignment and Assumption of Leases, and the FIRPTA certificate; and copies of all other documents delivered to the Title Company.
Delivering to Seller and Buyer fully executed originals (where applicable) or copies of the closing documents.
Delivering to Seller. (i) The portion of the Purchase Price remaining after deduction of (i) the amount of any net credits to Buyer resulting from the prorations pursuant to Section 5.6 hereof and (ii) Seller's share of closing costs;
Delivering to Seller a counterpart original of the Assignment and Assumption Agreement, a counterpart original of the Assignment of Intellectual Property, the Motor Vehicle Certificates of Ownership, the written certificates required under this Agreement, and any other documents (or copies thereof) delivered into Escrow by Seller.
