Delivering to Buyer. (a) the original Buyer’s Title Policy; (b) the original Certification; (c) conformed copy of the Deed; (d) an original counterpart of the Assignment and Assumption of Leases; (e) an original counterpart of the General Assignment and Assumption executed by Seller and Buyer; (f) an original Xxxx of Sale; (g) the original of each Notice to the Tenants; (h) an original counterpart of the Seller Leaseback; (i) an original counterpart of the Assignment and Assumption of Contracts, (j) the original of the California Certificates, and (k) a counterpart copy of the closing statement.
Delivering to Buyer. (i) Any funds remaining in Escrow after (i) disbursement to Seller of the Purchase Price and (ii) payment of all of the closing costs;
Delivering to Buyer the original Xxxx of Sale, a counterpart original of the Assignment of Intangible Property, the Non-Foreign Affidavit and the Closing Certificate, each duly executed by Seller.
Delivering to Buyer the Title Policy (or a xxxx-up evidencing the terms of the policy to be issued); the Closing Statement; a conformed copy of the Bills of Sale, REAs, Deed, and Memorandum of Lease showing the recording information of each; an original of each Ground Lease, the General Assignment and Assumption, the Assignment and Assumption of Leases, and the FIRPTA Certificate; and copies of all other documents deposited with the Title Company; and
