Common use of Deliveries at the Closing Clause in Contracts

Deliveries at the Closing. At the Closing, (i) the Seller will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a) below, (ii) the Buyer will deliver to the Seller the various certificates, instruments, and documents referred to in Section 6(b) below, (iii) the Seller will deliver to the Buyer stock certificates representing all of his Company Shares, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller the consideration specified in Section 1(b) above.

Deliveries at the Closing. At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, instruments and documents referred to in Section 6(a7(a) below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments, instruments and documents referred to in Section 6(b7(b) belowbelow (including the Buyer Notes), (iii) the Seller Sellers will deliver to the Buyer stock certificates representing all of his the outstanding Company Shares, endorsed in blank or accompanied by duly executed assignment documents, documents and (iv) the Buyer will deliver to the Seller Sellers the consideration specified in Section 1(b2(b) aboveabove for the outstanding Company Shares.

Deliveries at the Closing. At the Closing, (i) the Seller will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a7(a) below, (ii) the Buyer will deliver to the Seller the various certificates, instruments, and documents referred to in Section 6(b7(b) below, (iii) the Seller will deliver to the Buyer stock certificates representing all of his Company Shares, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller the consideration specified in Section 1(b2(b) above.

At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a7(a) below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments, and documents referred to in Section 6(b7(b) below, (iii) the each Seller will deliver to the Buyer stock certificates representing all of his Company Shares, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller Sellers the consideration specified in Section 1(b2(b) above.

Deliveries at the Closing. At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a7(a) below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments, and documents referred to in Section 6(b7(b) below, (iii) the Seller Sellers will deliver to the Buyer stock certificates representing all of his Company the Target Shares, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller Sellers the consideration Purchase Price specified in Section 1(b2(b) aboveabove and certificates representing the Buyer Shares issuable to them hereunder.

Deliveries at the Closing. At the Closing, (i) the Seller will deliver to the Buyer the various certificates, instruments, instruments and documents referred to in Section 6(a) 6 below, (ii) the Buyer will deliver to the Seller the various certificates, instruments, instruments and documents referred to in Section 6(b) 7 below, (iii) the Seller will deliver to the Buyer a stock certificates certificate representing all of his Company the Shares, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller the consideration specified in Section 1(b) 1.2 above.

At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, instruments and documents referred to in Section 6(a) 7.1 below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments, instruments and documents referred to in Section 6(b) 7.2 below, (iii) the Seller Sellers will deliver to the Buyer original stock certificates representing all of his their Company Shares, endorsed in blank or accompanied by duly executed assignment documents, in form acceptable to Buyer and its counsel, and (iv) the Buyer will deliver to the Seller Sellers the consideration specified in Section 1(b) 2.2 above.

Deliveries at the Closing. At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a) 6.1 below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments, and documents referred to in Section 6(b) 6.2 below, (iii) the Seller Sellers will deliver to the Buyer stock certificates representing all of his the Company Shares, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller Sellers and First Union the consideration specified in Section 1(b2.2(A)(i) and (ii) above.

Deliveries at the Closing. At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a7(a) below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments, and documents referred to in Section 6(b7(b) below, (iii) each of the Seller Sellers will deliver to the Buyer stock certificates representing all of his Company Target Shares, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to each of the Seller Sellers the consideration specified in Section 1(b2(b) above.

At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(aSECTION 7(A) below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments, and documents referred to in Section 6(bSECTION 7(B) below, (iii) the Seller Sellers will each deliver to the Buyer stock certificates representing all of his Company its Infinity Shares, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller Sellers the consideration specified in Section 1(bSECTION 2(H) above as may be adjusted after the Closing pursuant to SECTION 2(B) above.

Deliveries at the Closing. At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a7(a) below, (ii) the Buyer will deliver to the Seller Sellers' Representative the various certificates, instruments, and documents referred to in Section 6(b7(b) below, (iii) the Seller Sellers will deliver to the Buyer stock certificates representing all of his Company the Shares, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller Sellers' Representative the consideration specified in Section 1(b2(c) above.

Deliveries at the Closing. At the Closing, (i) the Seller will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a) sec. 9. a. below, (ii) the Buyer will deliver to the Seller the various certificates, instruments, and documents referred to in Section 6(b) sec. 9. b. below, (iii) the Seller will deliver to the Buyer stock certificates representing all of his Company the Central Shares, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller the consideration specified in Section 1(b) abovesec. 3 below.

Deliveries at the Closing. At the Closing, (i) the Seller will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a7(a) below, (ii) the Buyer will deliver to the Seller the various certificates, instruments, and documents referred to in Section 6(b7(b) below, (iii) the Seller will deliver to the Buyer stock certificates representing all of his Company its Furash Shares, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller the consideration specified in Section 1(b2(b) above.

At the Closing, (i) the Seller will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a) below, (ii) the Buyer will deliver to the Seller the various certificates, instruments, and documents referred to in Section 6(b) below, (iii) the Seller will deliver to the Buyer stock certificates representing all of his Company Shares, endorsed in blank or accompanied by duly executed assignment documentsdocuments transferring to the Buyer all of the Class A Shares held by the Seller, and (iv) the Buyer will deliver to the Seller all the consideration specified in Section 1(b2(b) above.

Deliveries at the Closing. At the Closing, (i) the Seller Company, the Sellers or the Sellers’ Representative, on behalf of the Sellers, will deliver to the Buyer the certificates representing all of the Units and the various certificates, instruments, and documents referred to in Section 6(a) below8.1, (ii) the Buyer will deliver to the Seller Sellers’ Representative the various certificates, instruments, and documents referred to in Section 6(b) below8.2, (iii) the Seller Buyer will deliver to the Buyer stock certificates representing all of his Company SharesSellers’ Representative the consideration specified in Sections 2.3(a) and 2.3(b), endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller Retention Employees the consideration specified in Section 1(b2.3(c) aboveand (v) the Buyer will deliver such amounts set forth in Sections 2.3(d), 2.3(e), 2.3(f), 2.3(g) and 2.3(h).

Deliveries at the Closing. At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a7(a) below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments, and documents referred to in Section 6(b7(b) below, (iii) the Seller Sellers will deliver to the Buyer stock certificates representing all of his Company the Seller Shares, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller Sellers stock certificates representing the consideration specified in Section 1(b) aboveConsideration Shares.

Deliveries at the Closing. At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a) 8.1 below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments, and documents referred to in Section 6(b) 8.2 below, (iii) each of the Seller Sellers will deliver to the Buyer stock certificates representing all of his Company SharesMM&S Shares purchased hereunder, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to each of the Seller Sellers the cash consideration specified in Section 1(b2.1(B) above; and (v) Buyer will deliver to the Escrow Agent the Buyer Shares forming part of the Purchase Price specified in Section 2.1(B) above.

Deliveries at the Closing. At the Closing, (i) the Seller will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a) 7.01 below, (ii) the Buyer will deliver to the Seller the various certificates, instruments, and documents referred to in Section 6(b) 7.02 below, (iii) the Seller will deliver to the Buyer stock certificates representing all of his Company the Purchased Shares, if any, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller the consideration specified in Section 1(b) 2.02 above.

At the Closing, (i) Sellers and/or the Seller Target will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a) below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments, and documents referred to in Section 6(b) below, (iii) the Seller Sellers will deliver to the Buyer stock certificates representing all of his Company the Target Shares, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller Sellers the consideration specified in Section 1(b2(b)(i) above.

At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a) below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments, and documents referred to in Section 6(b) below, (iii) each of the Seller Sellers will deliver to the Buyer stock certificates representing all of his such Sellers' Company Shares, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller Sellers and the Escrow Agent the consideration specified in Section 1(b2(b) above.

Deliveries at the Closing. At the Closing, (i) the Seller will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a7(a) below, (ii) the Buyer will deliver to the Seller the various certificates, instruments, and documents referred to in Section 6(b7(b) below, (iii) the Seller will deliver to the Buyer stock certificates representing all of his Company the Master Products Shares, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller the consideration specified in Section 1(b2(b) above.

Deliveries at the Closing. At the Closing, (i) the Seller will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a) 9. a. below, (ii) the Buyer will deliver to the Seller the various certificates, instruments, and documents referred to in Section 6(b) 9. b. below, (iii) the Seller will deliver to the Buyer stock certificates representing all of his Company the Central Shares, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller the consideration specified in Section 1(b) above3 below.

At the Closing, (i) the Seller will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a) 7.01 below, (ii) the Buyer will deliver to the Seller the various certificates, instruments, and documents referred to in Section 6(b) 7.02 below, (iii) the Seller will deliver to the Buyer stock certificates representing all of his Company Sharesthe Rapidforms Shares issued and outstanding on the Closing Date, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller the consideration specified in Section 1(b) 2.02 above.

At the Closing, (i) the Seller Sellers will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a7(a) below, (ii) the Buyer will deliver to the Seller Sellers the various certificates, instruments, and documents referred to in Section 6(b7(b) below, (iii) the each Seller will deliver to the Buyer stock certificates representing all Shares held of his Company Sharesrecord by such Seller, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller Sellers the consideration specified in Section 1(b2(b) above.

Deliveries at the Closing. At the Closing, (i) the Seller will deliver to the Buyer the various certificates, instruments, and documents referred to in Section 6(a) 7 below, (ii) the Buyer will deliver to the Seller the various certificates, instruments, and documents referred to in Section 6(b) 7 below, (iii) the Seller will deliver to the Buyer the stock certificate or certificates representing all of his Company Treasure Valley Shares, endorsed in blank or accompanied by duly executed assignment documents and all other documents, instruments and agreements reasonably required by the Buyer to close the transactions contemplated herein, and (iv) the Buyer will deliver to the Seller the consideration specified in Section 1(b) 2.2 above.

Deliveries at the Closing. At the Closing, : (i) the Seller will deliver to the Buyer Buyer: (A) the various certificates, instruments, and documents referred to in Section 6(a7(a) belowherein; (B) stock certificates, representing all of the Seller's Target Shares, endorsed in blank or accompanied by duly executed assignment documents; and (ii) the Buyer will deliver to the Seller Seller: (A) the various certificates, instruments, and documents referred to in Section 6(b7(b) below, herein; and (iiiB) the Seller will deliver to the Buyer stock certificates representing all of his Company Shares, endorsed in blank or accompanied by duly executed assignment documents, and (iv) the Buyer will deliver to the Seller the consideration specified in Section 1(b2(b) above.

Deliveries at the Closing.
