DELEGATION AGREEMENT. By its execution of this Delegation Agreement by and between UMB Bank, n.a. (the Custodian), a national banking association, with its principal office in Kansas City, Missouri, and each of the registered investment companies (on behalf of any series thereof, if applicable) listed on the Appendix to this Agreement, together with such additional companies as shall be made parties to this Agreement by the execution of a revised Appendix to this Agreement (such companies, and any series thereof, are referred to individually as a “Fund” and, collectively, as the “Funds”), the Funds hereby direct the Custodian to appoint Citibank, N.A., a National Banking Association under the laws of the United States of America, as the Approved Foreign Custody Manager (the Delegate) under the terms of the Custody Agreement between the Funds and the Custodian to perform certain functions with respect to the custody of the Funds’ Assets (as defined in Section 13 of this Delegation Agreement) outside the United States of America.
DELEGATION AGREEMENT. By its execution of this Delegation Agreement by and between W&R FUNDS, INC., on behalf of the ASSET STRATEGY FUND series (the Fund), a management investment company registered with the Securities and Exchange Commission (the Commission) under the Investment Company Act of 1940, as amended (the 1940 Act), and UMB BANK, N. A. (the Custodian), the Fund hereby directs the Custodian to appoint Xxxxx Brothers Xxxxxxxx & Co., a New York limited partnership with an office in Boston, Massachusetts, as the Approved Foreign Custody Manager under the terms of the Custodian Agreement between the Fund and the Custodian (the Delegate) to perform certain functions with respect to the custody of the Fund's Assets (as defined in Section 14 of this Delegation Agreement) outside the United States of America.
DELEGATION AGREEMENT. An agreement between the ERO and WECC pursuant to Section 215 of the Federal Power Act by which the ERO delegates to WECC designated powers, rights and responsibilities regarding the administration within the Western Interconnection of electric Reliability Standards adopted or approved by the ERO and the FERC.
DELEGATION AGREEMENT. “Delegation Agreement” shall mean the delegation agreement, as supplemented or amended from time to time, between NERC and the Corporation pursuant to which NERC has delegated its authority to the Corporation to propose and enforce Reliability Standards within the Region.
DELEGATION AGREEMENT. At Closing and in connection with the execution of the JV Agreement, Transferor and Transferee shall cause the Transferor and Transferee entities that are parties to the JV Agreement, respectively, to execute a Delegation Agreement in the form attached hereto as Exhibit Q (the “Delegation Agreement”) pursuant to which the applicable Transferee party to the JV Agreement shall delegate to the applicable Transferor party to the JV Agreement, certain responsibilities and obligations of the managing member under the JV Agreement.
DELEGATION AGREEMENT. The term “Delegation Agreement” shall mean the Delegation Agreement between a Fund and the Bank;
DELEGATION AGREEMENT. By its execution of this Delegation Agreement by and between W&R FUNDS, INC., on behalf of the CAPITAL PROTECTIONPLUS FUND series (the Fund), a management investment company registered with the Securities and Exchange Commission (the Commission) under the Investment Company Act of 1940, as amended (the 1940 Act), and UMB BANK, N. A. (the Custodian), the Fund hereby directs the Custodian to appoint Citibank, N.A. as the Approved Foreign Custody Manager under the terms of the Custodian Agreement between the Fund and the Custodian (the Delegate) to perform certain functions with respect to the custody of the Fund's Assets (as defined in Section 14 of this Delegation Agreement) outside the United States of America.
DELEGATION AGREEMENT. Yolo Gasco has received no notice from either Seller or Yolo County that it is in violation or breach of any material provision of the Delegation Agreement. The Delegation Agreement is in full force and effect, and Yolo Gasco is not in default or breach under such agreement.
DELEGATION AGREEMENT. Pursuant to the French law delegation agreement made between the Borrower, the Supplier and the Security Agent and entered into on or about the date hereof (the “Delegation Agreement”), the Borrower has, among other things, delegated its rights to the Security Agent to receive payment of the Thales Indemnities (as such term is defined in the Delegation Agreement).
DELEGATION AGREEMENT. Defines responsibilities for implementing local watercraft inspection programs and transfers MN DNR authorities to local units of government.
