Delays Beyond Control Sample Clauses

The "Delays Beyond Control" clause defines how parties are excused from liability or penalties when delays occur due to circumstances outside their reasonable control, such as natural disasters, government actions, or other unforeseeable events. Typically, this clause requires the affected party to notify the other party promptly and may specify steps to mitigate the impact of the delay. Its core function is to allocate risk fairly by protecting parties from breach of contract claims when delays are caused by events they could not have anticipated or prevented.
