Common use of Definition of Total Disability Clause in Contracts

Definition of Total Disability. For purposes hereof, “Total Disability” shall mean the inability of the Executive to perform the duties set forth in Section 3 hereof by reason of any physical or mental impairment, as determined by a physician or other appropriate medical evidence acceptable to the Special Committee, which continues for sixty (60) substantially consecutive days. The Executive agrees to submit to reasonable examination and/or provide other satisfactory proof of disability as the Special Committee may request.

The determination of the existence or nonexistence of Total Disability shall be made by reason of any physical or mental impairmentthe Board, as determined pursuant to a medical examination by a physician or other appropriate medical evidence acceptable doctor licensed to practice medicine in the Special Committee, which continues for sixty (60) substantially consecutive days. The Executive agrees to submit to reasonable examination and/or provide other satisfactory proof state of disability as the Special Committee may requestExecutive's principal residence approved by the Board.
