Definition of Innovations. Consultant agrees to disclose in writing to Company all inventions, products, designs, drawings, notes, documents, information, documentation, improvements, works of authorship, processes, techniques, know-how, algorithms, technical and business plans, specifications, hardware, circuits, computer languages, computer programs, databases, user interfaces, encoding techniques, and other materials or innovations of any kind that Consultant may make, conceive, develop or reduce to practice, alone or jointly with others, in connection with performing Services or that result from or that are related to such Services, whether or not they are eligible for patent, copyright, mask work, trade secret, trademark or other legal protection (collectively, “Innovations”).

Definition of Innovations. Consultant agrees that all inventions and products created by Consultant or outsourced third-party while billing Client ("Innovations"), including all interim material used such as design notes, drawings, code, or pseudo-code ("Design Material") are the sole property of the Client. The Consultant agrees to disclose all Innovations and Design Material in writing. Client agrees that all Innovations and Design Material Consultant creates while not billing Client are not the property of Client and may be the sole property of Consultant or a third party. Consultant has no obligation to disclose any Innovations and Design Material created by Consultant while not billing Client.
