Common use of Deemed Acceptance Clause in Contracts

Deemed Acceptance. If the Purchaser does not give a notice of objection in accordance with Section 2.5, the Purchaser shall be deemed to have accepted the draft Closing Date Balance Sheet and draft calculation of the Closing Date Excess Capital prepared by the Vendor which shall be final and binding on the Parties and the draft calculation of Closing Date Excess Capital shall constitute the Closing Date Excess Capital for purposes of this Agreement immediately following the expiry date for the giving of such notice of objection.
