Dedicated Personnel. IM shall provide [*] Strategic FTEs to provide services to ATMI, the nature of the services to be mutually agreed by the parties, to support the Strategic Accounts in connection with the Strategic Fields on the schedule set forth in this Section 3.1 (“Addendum Services”). The parties may mutually agree in writing to increase the number of Strategic FTEs provided by IM and paid for by ATMI if the number of Strategic Fields increases or the expected workload increases at a later date; however, such agreement can be withheld by either party in its sole discretion. Addendum Services will be provided in the manner consistent with Section 8.7 of the Agreement with the same rights and remedies set forth therein. IM shall invoice and ATMI shall pay for [*] Strategic FTEs starting on January 1, 2008 and [*] additional Strategic FTEs starting upon Factory Acceptance of the first Element of each of the Second through Fourth Wets Workflows. If ATMI elects to terminate the Purchase Documentation for the Fourth Wets Workflow as set forth in Quote #4, then IM may invoice for and ATMI shall pay the [*] Strategic FTEs associated with the Fourth Wets Workflow as of the Target Delivery Date for that Wets Workflow. Upon the mutual execution of this Addendum, AMTI shall issue a purchase order to IM for the total fees for Addendum Services scheduled to be rendered under this Section 3.1.
Dedicated Personnel. The parties agree that the final [*] Strategic FTEs referenced in Section 3.1 of the Addendum shall start on [*] providing services to ATMI to support the wet and/or dry processing activities as mutually agreed by the parties. ATMI shall pay IM for said FTEs at the rate of [*] US dollars (US$[*]) per FTE per month. IM will invoice ATMI monthly and payment terms shall be as set forth in the Agreement. Upon the mutual execution of this Amendment, ATMI shall issue or have in place a purchase order to IM to cover the [*] Strategic FTE Services through [*].
Dedicated Personnel. Throughout the Term, IMNTV shall designate at least one (1) staff member to provide Distributor with all reasonably necessary assistance, information and support relating to its obligations herein including, but not limited to, updating and maintaining the Programming.
Dedicated Personnel. InterTrust and SSG will each appoint a ------------------- relationship manager, to coordinate its activities pursuant to this Section 3.3 and Article 4 ("Relationship Manager"), and a technical project -------------------- manager, to coordinate and provide the Assistance set forth in Section 3.3(a) and 3.3(b), 3.3(b) ("Technical Project Manager") (collectively, the ------------------------- "Dedicated Personnel"). Not less than one-half (1/2) of such InterTrust ------------------- Relationship Manager's and such InterTrust Technical Project Manager's working time shall be devoted exclusively to providing services and Assistance for SSG as set forth herein, if reasonably required by the circumstances or reasonably requested by SSG, so long as SSG is entitled to most favored treatment under Section 3.2(b) hereof.
Dedicated Personnel. United will provide [*] Dedicated Personnel (minimum [*] PMEs on average per year as measured by OPS) who will be dedicated [*] of their time to Sales Services;

Provider shall ensure that all Personnel so identified are dedicated solely to performance of such Services and shall not assign such Personnel to any other project unless otherwise agreed in writing by the Parties.
