Dealership Operations. Each Dealer Company shall be a distinct and complete business entity which shall include complete Dealership Operations as that term is defined in the Dealer Agreement including, but not limited to, sales, service, parts, and used car operations. This requirement will not preclude certain centralized functions provided that they are consistent with GM's Channel Strategy, and that such centralized functions are reviewed with and approved by GM, which approval shall not be unreasonably withheld. However, no sales, service or parts operations may be combined with any non-GM representation and all GM Dealerships will have reasonable used or car operations.
Dealership Operations. All Dealer operations contemplated by this Agreement, including, without limitation, sale and servicing of Hyundai Products, use and display of Hyundai Marks, advertising and promotion of Hyundai Products, rental and leasing of Hyundai Motor Vehicles, sale of used cars, body shop work, and financing or insurance services, whether conducted directly or indirectly by DEALER.

All dealer functions contemplated by this Agreement including, without limitation, sale and servicing of Maybach Passenger Car Products, use and display of Maybach Marks and Maybach Passenger Car Products, rental and leasing of Maybach Passenger Cars, sale of pre-owned Maybach vehicles, body shop work, financing or insurance services and any other activities undertaken by Dealer in connection with Maybach Passenger Car Products whether conducted directly or indirectly by Dealer.

Dealership Operations. Xxxxxxx shall be responsible for overseeing and managing the day to day operations of the individual dealerships. Xxxxxxx will be the designated Dealer Principal responsible for communicating each manufacturer and will have the exclusive authority to appoint the General Manager of each dealership. Xxxxxxx shall be responsible for obtaining new financing arrangements for each NewCo, including without limitation, new and used flooring financing working capital line of credit, and other related financing arrangements, without reliance on any arrangements or guarantees from Lithia; and shall be responsible for obtaining and securing applicable insurance and other arrangements currently provided to the Dealership Subs by or through Lithia, that are necessary to operate the Company Business after the Closing Date and that will not continue to be provided by or through Lithia after Closing.

Dealership Operations. The Dealership Operations means all operations contemplated by this Agreement. These operations include the sale and service of the Products, and any other activities undertaken by Dealer related to the Products authorized by this Agreement.
