The Dealer Manager shall have no duties, responsibilities or obligations to the Limited Partnership, the General Partner or any Limited Partner as a consequence of its right to receive Commissions, except to the extent provided under the Securities Act of 1933, as amended. The Dealer Manager has not assumed, and will not assume, any responsibility with respect to the Limited Partnership nor will it be permitted by the General Partner to assume any duties, responsibilities or obligations regarding the management, operations or any of the business affairs of the Limited Partnership subsequent to the date on which the Limited Partnership is Activated.
