Common use of Date of Termination Clause in Contracts

Date of Termination. “Date of Termination” means (1) if the Executive’s employment is terminated by the Company for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice), as the case may be, (2) if the Executive’s employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive of such termination, and (3) if the Executive’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company for Cause, or by the Executive for Good Reason, the date of receipt later of the Notice of Termination or any later date specified in the Notice of TerminationTermination or the date that is one day after the last day of any applicable cure period, (which date shall not be more than 30 days after the giving of such notice), as the case may be, (2ii) if the Executive’s employment is terminated by the Company other than for Cause or Disability, or Executive resigns without Good Reason, the Date of Termination shall be the date on which the Company notifies or Executive notified Executive or the Executive Company, respectively, of such termination, termination and (3iii) if the Executive’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company for Cause, or by the Executive during the Window Period or for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s employment is terminated by the Company other than for Cause or Disability, the Date date specified in the Notice of Termination (which shall not be less than 30 nor more than 60 days from the date on which the Company notifies the Executive such Notice of such terminationTermination is given), and (3iii) if the Executive’s employment is terminated by reason of death or for Disability, the Date 30 days after Notice of Termination shall be the date of death of is given, provided that the Executive or shall not have returned to the Disability Effective Date, as the case may befull-time performance of his duties during such 30-day period.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s Employee's employment is terminated by the Company Employer for Cause, or by the Executive Employee for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s Employee's employment is terminated by the Company Employer other than for Cause or Disability, the Date of Termination shall be the date on which the Company Employer notifies the Executive Employee of such termination, termination and (3iii) if the Executive’s Employee's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive Employee or the Disability Effective Date, as the case may be.

Date of Termination. For purposes of this Agreement, the “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company for CapStar with or without Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in therein within thirty (30) days following such notice, (ii) if Executive’s employment is terminated voluntarily without Good Reason, the thirtieth (30th) day following the date of receipt of the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice), as the case provided that CapStar may be, (2) if the Executive’s employment is terminated by the Company other than for Cause or Disability, in its discretion accelerate the Date of Termination shall be the date on which the Company notifies the Executive of such terminationTermination, and or (3iii) if the Executive’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company CapStar for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s employment is terminated by the Company CapStar other than for Cause or Disability, the Date of Termination shall be the date on which the Company CapStar notifies the Executive of such termination, (iii) if Executive resigns without Good Reason, the date on which Executive notifies CapStar of such termination and (3iv) if the Executive’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “For purposes of this Agreement, the term "Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company for Cause, or by the Executive during a Window Period or for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive of such termination, termination and (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company and/or any Affiliated Company for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company and/or any Affiliated Company notifies the Executive of such termination, and (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s Employee's employment is terminated by the Company for CauseCause or upon a Change of Control, or by the Executive Employee for Good Reason or without Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such noticetherein pursuant to Section 3(e), as the case may be, (2ii) if the Executive’s Employee's employment is terminated by the Company other than for Cause or Disabilityupon a Change of Control, the Date of Termination shall be the date on which the Company notifies the Executive Employee of such termination, termination and (3iii) if the Executive’s Employee's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive Employee or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s Employee's employment is terminated by the Company CryoLife for Cause, or by the Executive Employee for Good Reason, the date of receipt of the Notice of Termination Termination, or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s Employee's employment is terminated by the Company CryoLife other than for Cause or Disability, the Date of Termination shall be the date on which the Company CryoLife notifies the Executive Employee of such termination, termination and (3iii) if the Executive’s Employee's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive Employee or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company Corporation for Cause, or by the Executive for with or without Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than therein within 30 days after the giving of such notice), as the case may be, (2ii) if the Executive’s employment is terminated by the Company Corporation other than for Cause or Permanent Disability, the Date of Termination shall be the date on which the Company Corporation notifies the Executive of such termination, termination and (3iii) if the Executive’s employment is terminated by reason of death or Permanent Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, therein (which date shall not be more than 30 days after the giving of such notice), as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive of such termination, termination and (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination (as defined in section 4(d)) or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive of such termination, and (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective DateDate (as defined in section 4(a)), as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company or Parent for Cause, or by the Executive for with or without Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than therein within 30 days after the giving of such notice), as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company or Parent other than for Cause or Disability, the Date of Termination shall be the date on which the Company or Parent notifies the Executive of such termination, termination and (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company for CauseCause or upon a Change of Control, or by the Executive for Good Reason or without Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such noticetherein pursuant to Section 3(e), as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company other than for Cause or Disabilityupon a Change of Control, the Date of Termination shall be the date on which the Company notifies the Executive of such termination, termination and (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “For purposes of this Agreement, "Date of Termination” " means (1a) if the Executive’s Employee's employment is terminated by the Company for Good Cause, or by the Executive Employee for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2b) if the Executive’s Employee's employment is terminated by the Company other than for Cause Good Cause, death or Disability, the Date of Termination shall be the date on which the Company notifies the Executive Employee of such termination, termination and (3c) if the Executive’s Employee's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive Employee or the date of the determination that the Employee's Disability Effective Dateis determined to be total and permanent, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company for Cause, or by the Executive for any reason (including Good Reason), the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than therein that is within 30 days after the giving of such notice)Notice, as the case may be, (2ii) if the Executive’s employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive of such termination, termination and (3iii) if the Executive’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the ExecutiveEmployee’s employment is terminated by the Company for Cause, or by the Executive for Employee with or without Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, therein within thirty (which date shall not be more than 30 30) calendar days after the giving of such notice), as the case may be, (2ii) if the ExecutiveEmployee’s employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive Employee of such termination, and (3iii) if the ExecutiveEmployee’s employment is terminated by reason of death Death or Disability, the Date of Termination shall be the date of death Death of the Executive Employee or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s employment is terminated by the Company for Cause, or by the Executive for Good Reason, the date of receipt later of the Notice of Termination or any later date specified in the Notice of TerminationTermination or the date that is one day after the last day of any applicable cure period, (which date shall not be more than 30 days after the giving of such notice), as the case may be, (2ii) if the Executive’s employment is terminated by the Company other than for Cause or Disability, or Executive resigns without Good Reason, the Date of Termination shall be the date on which the Company notifies or Executive notified Executive or the Executive Company, respectively, of such termination, termination and (3iii) if the Executive’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall may not be more less than 30 60 days after the giving date of such notice), as delivery of the case Notice of Termination; provided that the Company may bespecify any earlier Date of Termination, (2ii) if the Executive’s employment is terminated by the Company other than for Cause by reason of death or Disability, the Date date of Termination shall be receipt of the Notice of Termination, or any later date on which the Company notifies the Executive of such terminationspecified therein, and or (3iii) if the Executive’s employment is terminated by reason of death death, Disability or DisabilityRetirement, the Date of Termination shall will be the date of death of the Executive or Retirement, or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date up to six months thereafter specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive of such termination, termination or any later date specified therein within 30 days of such notice and (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination by the Company or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)Executive, as the case may be, or the later date specified therein, (2ii) if the Executive’s 's employment is terminated by the Company other than for Cause Cause, death or Disability, or the Executive resigns without Good Reason, the Date of Termination shall be the date on which the Company or the Executive notifies the Executive or the Company, respectively, of such termination, termination and (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company for Cause, without Cause or by the Executive for Good Reasonreason of Disability, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such noticetherein pursuant to Section 3(f), as the case may be, (2ii) if the Executive’s employment is terminated by the Company other than Executive for Cause Good Reason or Disabilitywithout Good Reason, the Date date specified in the Notice of Termination shall in accordance with Section 3(d) or Section 3(e) and pursuant to Section 3(f), as the case may be the date on which the Company notifies the Executive of such termination, and (3iii) if the Executive’s employment is terminated by reason of death or Disabilitydeath, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may bedeath.

Date of Termination. For purposes of this Letter, the date of the termination of your employment (“Date of Termination” means ”) will be (1a) if the Executive’s your employment is terminated by your death, the end of the month in which your death occurs, (b) if your employment is terminated for Disability, thirty (30) days after Notice of Termination is given, or (c) if your employment is terminated by you or the Company for Cause, or by the Executive for Good Reasonany other reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall will not be more later than 30 thirty (30) days after the giving of such notice), as the case may be, (2) if the Executive’s employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive of such termination, and (3) if the Executive’s employment is terminated by reason of death or Disability, the Date Notice of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may beis given.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company for CauseCause or pursuant to a Board Determination, or by the Executive for Good Reason or without Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such noticetherein pursuant to Section 3(d), as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company other than for Cause or Disabilitypursuant to a Board Determination, the Date of Termination shall be the date on which the Company notifies the Executive of such termination, termination and (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the ExecutiveEmployee’s employment is terminated by the Company CryoLife for Cause, or by the Executive Employee for Good Reason, the date of receipt of the Notice of Termination Termination, or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the ExecutiveEmployee’s employment is terminated by the Company CryoLife other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies Employee receives the Executive Notice of such terminationTermination, and (3iii) if the ExecutiveEmployee’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive Employee or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company Energy Group or any of its affiliated companies for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company Energy Group or any of its affiliated companies other than for Cause or Disability, the Date of Termination shall be the date on which the Company Energy Group or any of its affiliated companies notifies the Executive of such termination, termination and (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive of such termination, (iii) if the Executive resigns without Good Reason, the date on which the Executive notifies the Company of such termination and (3iv) if the Executive’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s Employee's employment is terminated by the Company for Cause, or by the Executive Employee for Good Reason, the date of receipt of the Notice of Termination or any later date specified in therein (but not more than thirty (30) days after the date of the Notice of Termination, (which date shall not be more than 30 days after the giving of such noticeTermination is received), as the case may be, (2ii) if the Executive’s employment Employee is terminated by the Company other than for Cause Cause, retirement or Disabilitydisability, the Date of Termination shall be the date on which the Company notifies the Executive Employee of such termination, and (3iii) if the Executive’s employment Employee is terminated by reason of death death, retirement or Disabilitydisability, the Date of Termination shall be the date of the Employee's death of the Executive or retirement, or the Disability Effective Datedate the Employee is determined to have a disability, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive voluntarily terminates his employment, the date specified in the notice; (ii) if the Executive’s 's employment is terminated by the Company RBF for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, ; (2iii) if the Executive’s 's employment is terminated by the Company RBF other than for Cause or Disabilityby the Executive for the nonoccurrence of the IPO within the waiting period, the Date Executive's last day as an active employee of Termination shall be RBF and the date on which the Company notifies the Executive of such termination, and Company; or (3iv) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company for Causeany reason other than death or Disability, or by the Executive for Good ReasonReason or incident to a Change in Control, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than therein within 30 days after the giving of such notice), as the case may be, ; (2) if the Executive’s employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive of such termination, and (3ii) if the Executive’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be; and (iii) if the Executive terminates his employment other than for Good Reason, the Date of Termination shall be 30 days after the date of Notice of Termination, unless the Company, at its option, chooses an earlier date.

Date of Termination. “Date of Termination” means (1i) if the ExecutiveEmployee’s employment is terminated by the Company for Cause, or by the Executive Employee for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the ExecutiveEmployee’s employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive Employee of such termination, and (3iii) if the ExecutiveEmployee’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive Employee or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company for Cause, or by the Executive for Good Reason, during a Change in Control Termination Period, or for Retirement, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive of such termination, and (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company for Cause, Cause or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice), as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the notified Executive of such termination, (iii) if Executive resigns other than for Good Reason, the Date of Termination shall be the date 60 days after Executive notified the Company of such termination and (3iv) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company for Cause or without Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified therein, as the case may be; (ii) if the Executive terminates her employment for Good Reason or without Good Reason, the date of termination specified in the Notice of Termination, or such earlier date (which date shall not be more no earlier than 30 days after the giving of such notice), as the case may be, (2) if the Executive’s employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies Notice of Termination is delivered to the Executive of such terminationCompany) as is determined by the Board, and (3iii) if the Executive’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than therein within 30 days after the giving of such notice), as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company other than for Cause or Disability, or if the Date of Termination shall be Executive voluntarily resigns without Good Reason, the date on which the Company terminating Party notifies the Executive other Party of such termination, and (3iii) if the Executive’s 's employment is terminated by reason of death or Disabilitydeath, the Date of Termination shall be the date of death of the Executive or (iv) if the Executive's employment is terminated by the Company due to Disability, the Disability Effective Date, as the case may be.

Date of Termination. For purposes of this Agreement, the term “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company for Cause, or by the Executive during a Window Period or for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive of such termination, termination and (3iii) if the Executive’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than therein within 30 days after the giving of such notice), as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company other than for Cause or Disability, subject to the provisions of Section 5(d), the Date of Termination shall be the date on which the Company notifies the Executive of such termination, termination and (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company for Haskxx xxx Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any a later date (within the limit set forth in subsection (b)) specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company Haskxx other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Haskxx xxxifies Executive of such termination, termination and (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company for Cause, or by the Executive for with or without Good Reason, the date of receipt of the Notice of Termination or any later date specified therein (and agreed to by the Company, in the Notice case of Termination, (which date shall not be more than a termination by the Executive) within 30 days after the giving of such notice), as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive of such termination, termination and (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1) if the Executive’s Employee's employment is terminated by the Company for CauseCause or upon a Change of Control, or by the Executive Employee for Good Reason or without Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such noticetherein pursuant to Section 3(e), as the case may be, (2) if the Executive’s Employee's employment is terminated by the Company other than for Cause or Disabilityupon a Change of Control, the Date of Termination shall be the date on which the Company notifies the Executive Employee of such termination, termination and (3) if the Executive’s Employee's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive Employee or the Disability Effective Date, as the case may be. 7 4.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s Employee's employment is terminated by the Company CryoLife for Cause, or by the Executive Employee for Good Reason, the date of receipt of the Notice of Termination Termination, or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s Employee's employment is terminated by the Company CryoLife other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies Employee receives the Executive Notice of such terminationTermination, and (3iii) if the Executive’s Employee's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive Employee or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1) if the Executive’s 's employment is terminated by the Company Corporation for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice), as the case may be, (2) if the Executive’s 's employment is terminated by the Company Corporation other than for Cause or Disability, the Date of Termination shall be the date on which the Company Corporation notifies the Executive of such termination, and (3) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company for or the Bank with or without Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in therein within thirty (30) days following such notice, (ii) if Executive’s employment is terminated voluntarily without Good Reason, the thirtieth (30th) day following the date of receipt of the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice), as the case may be, (2) if the Executive’s employment is terminated by provided that the Company other than for Cause or Disability, may in its discretion accelerate the Date of Termination shall be the date on which the Company notifies the Executive of such terminationTermination, and or (3iii) if the Executive’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the ExecutiveEmployee’s employment is terminated by the Company Employer for Cause, or by the Executive Employee for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the ExecutiveEmployee’s employment is terminated by the Company Employer other than for Cause or Disability, the Date of Termination shall be the date on which the Company Employer notifies the Executive Employee of such termination, termination and (3iii) if the ExecutiveEmployee’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive Employee or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s Employee's employment is terminated by the Company for Cause, or by the Executive Employee for Good Reason, the date of receipt delivery of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s Employee's employment is terminated by the Company other than for Cause or Disabilitydisability, the Date of Termination shall be the date on which the Company notifies the Executive Employee of such termination, termination and (3iii) if the Executive’s Employee's employment is terminated by reason of his death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.disability,

Date of Termination. “Date of Termination” " means (1i) if the Executive’s Xxxxx'x employment is terminated by the Company for Cause, or by the Executive Xxxxx for Good Reason, the date of receipt later of the Notice of Termination or any later date specified in the Notice of TerminationTermination or the date that is one day after the last day of any applicable cure period, (which date shall not be more than 30 days after the giving of such notice), as the case may be, (2ii) if the Executive’s Xxxxx'x employment is terminated by the Company other than for Cause or Disability, or Xxxxx resigns without Good Reason, the Date of Termination shall be the date on which the Company notifies or Xxxxx notified Xxxxx or the Executive Company, respectively, of such termination, termination and (3iii) if the Executive’s Xxxxx'x employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive Xxxxx or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company for Cause, Cause or by as a result of the Executive for Good ReasonExecutive's resignation or retirement, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than therein within 30 days after the giving of such notice), as the case may be, ; (2ii) if the Executive’s 's employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive of such termination, and ; (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date up to six months thereafter specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive of such termination, termination or any later date specified therein within 30 days of such notice and (3iii) if the Executive’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1) if the Executive’s Employee's employment is terminated by the Company for CauseCause or upon a Change of Control, or by the Executive 7 Employee for Good Reason or without Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such noticetherein pursuant to Section 3(e), as the case may be, (2) if the Executive’s Employee's employment is terminated by the Company other than for Cause or Disabilityupon a Change of Control, the Date of Termination shall be the date on which the Company notifies the Executive Employee of such termination, termination and (3) if the Executive’s Employee's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive Employee or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company for Cause, or by the Executive for Good Reason, or by the Executive due to a Qualifying Reporting Change, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than therein within 30 days after the giving of such notice), as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive of such termination, termination and (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means shall mean (1a) if the Executive’s employment is terminated by the Company for Cause, or by the Executive for Good ReasonCompany, the date that the Company notifies the Executive of receipt of the Notice of Termination such termination or any later date specified in the Notice notice of Terminationtermination, which shall not be more than 15 days after the date of the notice; (b) if the Executive’s employment is terminated voluntarily by the Executive, the date that the Executive notifies the Company of such termination or any later date specified therein (which date shall not be more later than 30 15 days after the giving of such notice), as the case may be, ; or (2c) if the Executive’s employment is terminated by the Company other than for Cause or Disability, the Date as a result of Termination shall be the date on which the Company notifies the Executive of such termination, and (3) if the Executive’s employment is terminated by reason of death or Disability, the Date date of Termination shall be such death or the date of death determination of the Executive or the such Disability Effective Datepursuant to Section 1.11, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company for Cause or without Cause, or by the Executive for or other than for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than therein within 30 days after the giving of such notice), as the case may be, be (2) if except that in the Executive’s employment is terminated case of a termination by the Company Executive other than for Cause or DisabilityGood Reason, the Date Company may in its sole discretion change any such later date to a date of Termination shall be its choosing between the date on which the Company notifies the Executive of such terminationreceipt and such later date), and (3ii) if the Executive’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be. The Employment Period shall automatically terminate on the Date of Termination.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2{ii) if the Executive’s 's employment is terminated by the Company other than for Cause or DisabilityExecutive without Good Reason, the Date of Termination shall be 2 months after the date on which the Company Executive notifies the Executive Company of such terminationtermination ( or such earlier date if approved by the Company), and (3respectively, {iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Datexxxx, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company for Good Cause, or by the Executive for Good Reason, the date of receipt termination of employment that is set forth in the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more earlier than 30 days after the giving of date on which such noticenotice is given), as the case may be, (2ii) if the Executive’s employment is terminated by the Company other than for Good Cause or Disability, the Date of Termination shall be or Executive resigns, the date on which the Company or Executive notifies Executive or the Executive Company, respectively, of such termination, or such later date as may be specified by the terminating party in such notice, and (3iii) if the Executive’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “As used in this Agreement, "Date of Termination” " means (1i) if the Executive’s Employee's employment is terminated by the Company for Cause, or by the Executive Employee for Good Reason, the date of receipt delivery of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s Employee's employment is terminated by the Company other than for Cause or Disability, the Date of Termination shall be the date on which the Company notifies the Executive Employee of such termination, termination and (3iii) if the Executive’s Employee's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive Employee or the Disability Effective Date, as the case may be.

Obligations of the Company upon Termination. (a)

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company for Cause, or by the Executive for Good Reason, the date of receipt that is one day after the last day of the Notice of Termination cure period, to the extent applicable, or any such later date specified set forth in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice), as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company other than for Cause or Disability, or the Executive resigns without Good Reason, the Date of Termination shall be the date on which the Company or the Executive notifies the Executive or the Company, respectively, of such termination, termination and (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such notice)therein, as the case may be, (2ii) if the Executive’s employment is terminated by the Company other than for Cause or DisabilityExecutive without Good Reason, the Date of Termination shall be two (2) months after the date on which the Company Executive notifies the Executive Company of such terminationtermination (or such earlier date if approved by the Company), and respectively, (3iii) if the Executive’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the Executive’s employment is terminated by the Company for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in within 30 days of the Notice of Terminationnotice, (which date shall not be more than 30 days after the giving of such notice), as the case may be, (2ii) if the Executive’s employment is terminated by the Company other than for Cause or DisabilityCause, the Date 30th day after the Notice of Termination shall be is given, (iii) if the Executive voluntarily resigns, the date on which the Company Executive notifies the Executive Company in writing of such terminationhis intent to resign, and (3iv) if the Executive’s employment is terminated by reason of death or Disabilitydeath, the Date of Termination shall be the date of death of the Executive Executive, or (v) if the Executive’s employment is terminated by the Company due to Disability, the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” " means (1i) if the Executive’s 's employment is terminated by the Company or the Parent for Cause, or by the Executive for Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than therein within 30 days after the giving of such notice), as the case may be, (2ii) if the Executive’s 's employment is terminated by the Company or the Parent other than for Cause or Disability, the Date of Termination shall be the date on which the Company or the Parent notifies the Executive of such termination, termination and (3iii) if the Executive’s 's employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive or the Disability Effective Date, as the case may be.

Date of Termination. “Date of Termination” means (1i) if the ExecutiveOfficer’s employment is terminated by the Company for Cause, or by the Executive Officer for other than a Good Reason, the date of receipt of the Notice of Termination or any later date specified in the Notice of Termination, (which date shall not be more than 30 days after the giving of such noticetherein pursuant to Section 3(c), as the case may be, (2ii) if the ExecutiveOfficer’s employment is terminated by the Company other than for without Cause or Disabilityby the Officer for a Good Reason, the Date of Termination shall be the date on which the Company notifies the Executive Officer of such termination or the Officer notifies the Company of such termination, as applicable, and (3iii) if the ExecutiveOfficer’s employment is terminated by reason of death or Disability, the Date of Termination shall be the date of death of the Executive Officer or the Disability Effective Date, as the case may be.
